Sublease Term. For Subleased Premises A, Sublessor does hereby demise and sublease the Subleased Premises to Sublessee and Sublessee does hereby sublease the Subleased Premises from Sublessor commencing on the earlier of (a) the date the Sublessee’s improvements are substantially complete in accordance with Sublessee’s Work (defined below) which shall be no later than sixty (60) days following Sublessee’s receipt of a construction permit and any other necessary approvals to perform the Sublessee’s Work, or (b) the date Sublessee commences business operations in the Premises (the “Commencement Date”) and ending on the termination of the Lease, currently scheduled for July 31, 2017 (the “Termination Date”), unless sooner terminated pursuant to any provision hereof (the “Term”). Promptly upon the occurrence of the Commencement Date, Sublessee and Sublessor shall execute a letter addendum to this Sublease confirming such Commencement Date. Subleased Premises B’s commencement date shall be nine (9) months following the Commencement Date for Subleased Premises A (the “Expansion Date”) and shall also terminate on the Termination Date.

Sublease Term. Unless sooner terminated pursuant to any provision in this Sublease, this Sublease shall continue until the first to occur of (i) the day immediately preceding the Termination Date, as such term is defined in the Primary Sublease; or (ii) five (5) years and two months from the date hereof (the “Sublease Term”). Promptly upon Notwithstanding the occurrence foregoing, (i) the present term of the Master Lease expires on June 30, 2014 (ii) the Primary Sublandlord has stated that it intends to extend the term of the Master Lease, and (iii) if for any reason the term of the Master Lease is not so extended, the Sublease Term shall expire on June 30, 2014 and neither party shall have any liability to the other on account of such fact. To the extent that an estate is conveyed hereunder for a period from and after June 30, 2014, such estate shall be deemed to have been conveyed only if and to the extent that the term of the Master Lease is extended. Within 30 days after the Sublease Commencement DateDate and upon request of Sublandlord, Sublessee Sublandlord and Sublessor Subtenant shall jointly execute a letter addendum to this written declaration prepared by Sublandlord specifying the actual Sublease confirming such Commencement Date. Subleased Premises B’s commencement date shall be nine (9) months following the Commencement Date and the last day of the Sublease Term.
b. The Sublease shall automatically terminate at any time that the Primary Sublease terminates for Subleased Premises A (the “Expansion Date”) and shall also terminate on the Termination Dateany reason.

Notwithstanding the foregoing, if completion of Sublessee Improvements is delayed beyond January 1, 2017, after Sublessee used all reasonable efforts to complete same in accordance with this Sublease, due to failure of Sublessor shall execute a letter addendum to this Sublease confirming such Commencement Date. Subleased Premises B’s commencement date shall be nine review and approve Plans and Specifications or contractors, as and when required in Sections 15(b) and (9c) months following below, the Commencement Date shall be extended by one day for Subleased each day of delay.
