Subject to Article 10 Sample Clauses
The "Subject to Article 10" clause establishes that the provisions or obligations referenced are governed or limited by the terms set out in Article 10 of the agreement. In practice, this means that any rights, duties, or conditions mentioned in the relevant section must be interpreted in accordance with, or are conditional upon, the stipulations found in Article 10. For example, if a party's obligation to deliver goods is "subject to Article 10," then any exceptions, limitations, or procedures described in Article 10 will take precedence. This clause ensures consistency and prevents conflicts by clarifying that Article 10's terms override or qualify the referenced provisions.
Subject to Article 10. 6, the parties shall keep and use all of the Confidential Information in confidence and will not, without the other party’s prior written consent, disclose any Confidential Information to any person or entity, except those officers, employees, faculty, students and professional advisors who require said Confidential Information in performing their obligations under this Agreement. The Licensee covenants and agrees that it will initiate and maintain an appropriate internal program limiting the internal distribution of the Confidential Information to only those officers, employees and professional advisors who require said Confidential Information in performing their obligations under this Agreement and who have signed confidentiality and non-disclosure agreements in a form approved by the Licensee’s Board of Directors. All Confidential Information must be marked in writing as Confidential at the time of disclosure or within 30 days from receipt by the Licensee.
Subject to Article 10. 4, notice of a directors’ meeting must be given to each director whether or not he is absent from Jersey or the United Kingdom, but need not be in writing.
Subject to Article 10. 4.1, not later than one (1) Month before the start of supply, Buyer through a scheduled bank open a Letter of Credit in favour of the SPD, to be made operative from a date prior to the Due Date of its first Monthly ▇▇▇▇ under this Agreement. The Letter of Credit shall have a term of twelve (12) Months and shall be renewed annually, for an amount equal to:
i) for the first Contract Year, equal to the estimated average monthly billing;
ii) for each subsequent Contract Year, equal to the average of the monthly billing of the previous Contract Year.
