SUBCONTRACTORS AND PERSONNEL. 10.1. The Seller is not entitled, without the approval of the Contracting Authority, to replace the personnel and subcontractors indicated in the Tender or to involve additional subcontractors or personnel in the performance of the Procurement Contract.
SUBCONTRACTORS AND PERSONNEL. Agent may not subcontract any portion of the Services without the PRINCIPAL’s written authorization within an applicable PO or Schedule. If PRINCIPAL permits subcontracting, Agent shall remain fully liable for all acts and omissions of suchsubcontractors to same extent such acts and omissions were performed by Agent’s employees, and all subcontractors will abide by the provisions of these General Terms and Conditions as if they were Agent. Unless otherwise specified in an applicable PO/Schedule, all services provided under these General Terms and Conditions, whether performed by Agent or authorized subcontractors, shall be performed in the United States For avoidance of doubt, any violation of this provision shall be considered a material breach of these General Terms and Conditions.
SUBCONTRACTORS AND PERSONNEL. (a) Subject to the terms of this Section 8.02, Seller has and may hire or engage, at no additional cost to Buyer or the Company except as otherwise agreed to by the Company set forth herein or in the SPA, one or more subcontractors and other vendors (such subcontractors and vendors, collectively the "SELLER SUBCONTRACTORS"), to perform all or any of its obligations to provide Services under this Agreement; PROVIDED that, subject to Section 4.01, Seller shall in all cases remain responsible for all obligations to provide Services undertaken by it in this Agreement with respect to the scope, quality, timeliness and nature of the Services provided to the Company in accordance with the standards set forth in Section 2.03.
SUBCONTRACTORS AND PERSONNEL. 6.1. Offshoring/Subcontractors/Personnel. ALLIANCE-ONE may share, subcontract or otherwise delegate any of the Services hereunder only as is expressly permitted by the Set of Agreements. ALLIANCE-ONE continues to be solely obligated to Customer for the satisfactory performance of any functions performed by any such Affiliate, or a permitted subcontractor, pursuant to this Agreement.
SUBCONTRACTORS AND PERSONNEL. Lenovo reserves the right to use Lenovo certified subcontractors acting on behalf of Lenovo and subcontractor’s resources to perform some or all Services under this Agreement. Lenovo reserves the right to determine the assignment of its personnel. Each of us is responsible for the supervision, direction, control, and compensation of our respective personnel. You understand and agree that global resources (e.g.: non-permanent residents used locally and personnel in locations worldwide) may be used for delivery of the Services.
SUBCONTRACTORS AND PERSONNEL. All individuals providing Services must be Contractor’s employees unless Company expressly agrees otherwise in writing. Individuals providing Services that are employed by Contractor or any approved subcontractor are referred to as “Personnel”. All actions and omissions of any subcontractor are deemed Contractor’s actions and omissions under this Agreement.
SUBCONTRACTORS AND PERSONNEL. Grantee may perform some of its obligations under the Research Scope of Work through one or more Third Party subcontractors provided that (a) none of the rights of either party hereunder are diminished or otherwise adversely affected as a result of such subcontracting (except in the case of academic and other not-for-profit institutions receiving federal funding where receipt of such funding requires an amendment to the terms of this Agreement), and (b) Grantee will at all times be responsible for the performance and payment of such subcontractor in accordance with this Agreement. Grantee shall notify the Principal ALS Association Contact of any material changes to personnel involved in implementing the Research Scope of Work as described therein, including the use of subcontractors not previously described in the Research Scope of Work.
SUBCONTRACTORS AND PERSONNEL. 14.1 The Supplier may use sub-contractors to a greater extent than implied in the Purchase Agreement with the Customer’s prior written consent. The Supplier shall be liable for the performance, work and resources of its subcontractor as of its own.
SUBCONTRACTORS AND PERSONNEL. 11.2.1 The Service Provider must ensure that all Personnel, when using DFAT‟s premises or facilities, comply with all DFAT procedures and directions relating to security.
SUBCONTRACTORS AND PERSONNEL. (a) Seller reserves the right, at Seller’s sole discretion, to subcontract the performance of any or all of the Services to another provider, including third parties and any Seller Affiliate (each, a “Subcontractor”), or to otherwise cause the performance of any or all Services through any Seller Affiliate. Seller shall be Buyer’s and the Acquired Entities’ sole point of contact regarding the Services, including with respect to payment. Seller shall not be relieved of any of its obligations under this Agreement as a result of the provision of Services by any Seller Affiliate or Subcontractor; provided, however, that neither Seller nor any Seller Affiliate (collectively, the “Seller Group”) shall be liable for any interruption, disruption or downtime in the Services caused by acts or inactions of a third party Subcontractor or any other provider, contractor or other Person outside the Seller Group. However, in the event of such an interruption, disruption or downtime due to a third party Subcontractor, Seller’s response to such events shall be generally consistent with its response for its own operations affected by such event.
