Subcontractors and Affiliates. Contractor may use or disclose SPII to a subcontractor only if Contractor contractually requires the subcontractor to comply with this Addendum. This same requirement applies to all other subcontractors or affiliates who receive the SPII as a result of the initial disclosure to the Contractor.
Subcontractors and Affiliates. Operator may have all or any part of the Services accomplished by Subcontractors pursuant to written agreements between Operator and such Subcontractors. The creation of any subcontract relationship shall not (a) relieve Operator of any of its obligations under this Agreement, (b) relieve Operator of its responsibility for the performance of Services rendered by any such Subcontractor or (c) create any relationship between Owner and any Subcontractor. Owner shall communicate with any Subcontractor only through Operator. No Subcontractor is intended to be or shall be deemed a third-party beneficiary of this Agreement. Operator shall purchase goods and services at competitive rates comparable to those generally available for similar contracts in the market to the maximum extent feasible. Without limiting the preceding paragraph, Operator may have Services performed by its Affiliates, but in such case Operator shall be responsible for such Services in accordance with the terms of this Agreement and Owner shall look solely to Operator as if the Services were performed by Operator.
Subcontractors and Affiliates. Either Party will be permitted to subcontract certain of its business functions or other obligations thereunder associated with the Commercialization and/or obtaining or maintaining Regulatory Approvals, such as utilizing a contract sales force, ad agency or contract safety service; provided however, that such Party will remain fully liable and responsible to the other for all actions and/or omissions of its subcontractors under this Agreement as though such actions and/or omissions of its subcontractors under this Agreement were made by such Party itself.
Subcontractors and Affiliates. Hovione Inter Ltd. shall either perform the obligations of Hovione hereunder or shall cause its Affiliates to perform such obligations in accordance with the terms hereof. Any work that is to be done by any Party under this Agreement may be subcontracted to a third party in accordance with the approved NDA, cGMPs and any applicable FDA guidelines which relate to the work to be performed under the direction and supervision of such party, as the case may be; provided, however, that: (a) advanced notice of the proposed use of the subcontractor is first provided to the other party with an opportunity to object, (b) the subcontracting party exercises reasonable diligence in selecting such subcontractor (c) requires the subcontractor to accept and be bound in writing by the terms and conditions of this Agreement (including with respect to any Confidentially, Non-Use, Inventions hereunder) , and (d) as between the parties hereto, the subcontracting party shall be and remain responsible for all acts and omissions of any such subcontractor.
Subcontractors and Affiliates. The Locate Service Provider agrees that all of the foregoing review and audit rights of the Company shall be available to the Company in respect of any Affiliate of the Locate Service Provider and to the Locate Service Provider in respect of any Subcontractor that is providing materials or services to the Locate Service Provider in connection with or related to the performance of Service. The Locate Service Provider acknowledges and agrees that it shall ensure by written agreement that it (and the Company to the extent applicable) have access to all Records of Subcontractors and Affiliates of the Locate Service Provider for the purposes of examinations, audits and reviews as provided in this Agreement. The Locate Service Provider shall provide to the Company on the request of the Company the results of any such audit performed by or for the Locate Service Provider which shall include any summary or analysis prepared by or for the Locate Service Provider and the information and documents and materials upon which such were based.
Subcontractors and Affiliates. Whenever a Subcontractor or Affiliate is utilized, the Company shall either obtain and maintain, or require the Subcontractor or Affiliate to obtain and maintain, insurance in accordance with the applicable requirements of Appendix 11 and shall provide the County with certificates and blanket-form policy endorsements evidencing such insurance. Notwithstanding the insurance coverages and limits specified in Appendix 11, the Company may, with the prior written approval of the County, require Subcontractors and Affiliates to obtain and maintain lower levels of insurance coverage that are commensurate to the Subcontractor’s scope of work.

Subcontractors and Affiliates. SIRVA may provide the Services set forth herein through subcontractors or affiliates (third-party providers). For the avoidance of doubt, a request for Services under this Agreement shall be deemed Company’s written consent for subcontracting as required to facilitate such Services. In the event that any relocation service (such as, but not limited to, rental assistance, temporary living/corporate housing assistance, hotel placement, closing settlement services, global destination services or move management) is provided in-house or by a separate division or SIRVA affiliate, then it shall be considered a third-party provider for purposes of its charges and invoicing. Notwithstanding the foregoing, any payment obligations of Company under this Agreement shall be to SIRVA unless otherwise set forth in this Agreement. SIRVA Relocation LLC (“SIRVA Relo”) may provide the US Domestic Services identified herein. SIRVA Relo may be the invoicing party for those services identified in Exhibit A and SIRVA may direct that payment be made to SIRVA Relo. Such direction shall not be deemed to diminish, eliminate or otherwise negate the Company’s obligations under this Agreement due to SIRVA, except to the extent that such payment has been made to SIRVA Relo.
Subcontractors and Affiliates. Seller may use Seller Subcontractors to perform the Services, provided, however, that, with respect to the hiring, engaging or changing of any non-Affiliate Seller Subcontractor, Seller shall use the same degree of care in selecting any such Seller Subcontractor as it would if such Seller Subcontractor was being retained to provide similar services to Seller. Notwithstanding the use of any Seller Subcontractor, Seller shall remain responsible for the performance of Services (or any failure to perform Services) in accordance with the terms hereof unless BBU or one of its Affiliates is a party to the applicable contract or agreement with the Seller Subcontractor.
