SUBCONTRACTING BY AGENT. The Agent may, with the written approval of the Trust (such approval not to be unreasonably withheld or delayed), subcontract for the performance of the Agent's obligations hereunder with any one or more persons, including but not limited to any one or more persons which is an affiliate of the Agent; provided, however, that the Agent shall be as fully responsible to the Trust for the acts and omissions of any subcontractor as it would be for its own acts or omissions.

SUBCONTRACTING BY AGENT. The Agent may subcontract for the performance of the Agent's obligations hereunder with any one or more persons, including but not limited to any one or more persons which is an affiliate of the Agent; PROVIDED, HOWEVER, that the Agent shall be as fully responsible to the Trust for the acts and omissions of any subcontractor as it would be for its own acts or omissions. The Agent shall notify the Trust of any such arrangements no later than the next meeting of the Trust's Board of Trustees following the entry by the Agent into such arrangements. Notwithstanding this paragraph or paragraph 11 of this Agreement, the Trust reserves the right to terminate this Agreement immediately or upon such notice as the Trust, in its sole discretion, determines to give, and without payment of any penalty, if the Trust notifies the Agent that any subcontractor of the Agent is unacceptable to the Trust for any reason and the Agent does not terminate its arrangements with such subcontractor as promptly as reasonably practicable.

SUBCONTRACTING BY AGENT. Agent shall perform any combination of the Shareholder Services and Other Related Services described in Section 2.1 of this Agreement and may subcontract for the performance of some or all of these services with third-parties acting as subcontractor or sub- agent: (a) who are record owners of Fund shares; (b) with whom Shareholders have established an account that invests in shares; or (c) who otherwise provide Shareholder Services and Other Related Services for Shareholders. Such third-parties may include, without limitation, any person who is an affiliate of Agent. Unless Investment Company otherwise expressly agrees in writing, Agent shall be to the same extent responsible and/or liable to the Investment Company for the acts or omissions of any subcontractor or sub-agent as it would be to the Investment Company for its own acts or omissions.
SUBCONTRACTING BY AGENT. Notwithstanding Section 5.3, the Agent is authorized to contract with qualified independent contractors with proper licenses and/or certifications when necessary for general maintenance or repair of major mechanical systems. All contracts by Agent shall be subject to County's procurement rules and regulations, which Owner has provided to Agent. Subject to reasonable costs, Agent may perform any of Agent’s duties, and obtain necessary products and services, through affiliated companies or organizations in which Agent may own an interest. Agent shall disclose in writing to Owner any such relationships as they occur, and Agent shall not receive any commissions or profits from unaffiliated companies in performance of this agreement, without prior disclosure to Owner. Agent does not guarantee the inspections, services, products or repairs provided by others to the Property, even if recommended or referred by Agent.

  • HUB Subcontracting Plan The Owner has adopted Exhibit H, Policy on Utilization of Historically Underutilized Business ("Policy"), which is incorporated herein by reference. Contractor, as a provision of the Agreement must comply with the requirements of the Policy and adhere to the HUB Subcontracting Plan submitted with Contractor's Proposal and attached as Exhibit I. No changes to the HUB Subcontracting Plan can be made by the Contractor without the prior written approval of the Owner in accordance with the Policy.

  • Subcontracting 6.1 The Grantee is responsible for the performance of its obligations under this Agreement, including in relation to any tasks undertaken by subcontractors.

  • Subcontracting for Medicaid Services Notwithstanding any permitted subcontracting of services to be performed under this Agreement, Party shall remain responsible for ensuring that this Agreement is fully performed according to its terms, that subcontractor remains in compliance with the terms hereof, and that subcontractor complies with all state and federal laws and regulations relating to the Medicaid program in Vermont. Subcontracts, and any service provider agreements entered into by Party in connection with the performance of this Agreement, must clearly specify in writing the responsibilities of the subcontractor or other service provider and Party must retain the authority to revoke its subcontract or service provider agreement or to impose other sanctions if the performance of the subcontractor or service provider is inadequate or if its performance deviates from any requirement of this Agreement. Party shall make available on request all contracts, subcontracts and service provider agreements between the Party, subcontractors and other service providers to the Agency of Human Services and any of its departments as well as to the Center for Medicare and Medicaid Services.

  • Oversight of Subcontractors In the event that Vendor engages subcontractors or other authorized persons or entities to perform one or more of its obligations under the Master Agreement (including subcontracting hosting of the Protected Data to a hosting service provider), it will require those subcontractors or other authorized persons or entities to whom it will disclose the Protected Data to execute legally binding agreements acknowledging their obligation under Section 2-d of the New York Education Law to comply with all applicable data protection, privacy and security requirements required of Vendor under the Master Agreement and applicable state and federal law and regulations.

The Parties further agree that it is no defense to Vendor’s breach of this Agreement that a subcontractor caused Vendor of breach this Agreement.

  • Subcontractors The Contractor will not subcontract any work under the Contract without prior written consent of the Department. The Contractor is fully responsible for satisfactory completion of all its subcontracted work. The Department supports diversity in its procurements and contracts, and requests that the Contractor offer subcontracting opportunities to certified woman-, veteran-, and minority-owned small businesses.   • PAYMENT OF SUBCONTRACTORS Contractor shall pay any of its subcontractors not later than seven (7) days after receipt of any progress payment, unless otherwise agreed to in writing, the respective amounts allowed Contractor on account of the work performed by subcontractor(s), to the extent of each subcontractor’s interest therein, except as otherwise provided in Business and Professions Code Section 7108.5.
