Subcommittees and Working Groups. The Executive Board may establish standing and ad hoc subcommittees and working groups to complete its work and to ensure communication and coordination between all interested persons or groups. Subcommittees and working groups shall elect a Chairperson and provide appropriate staff support from their participants. The OA Manager shall provide coordination between these subcommittees and the Executive Board only.
Subcommittees and Working Groups. From time to time, either Party may propose that the JSC may establish and delegate duties to other joint committees, subcommittees or directed teams (each, a “Working Group”) on an “as needed” basis to oversee particular projects or activities, which may include activities under a Research Plan for a given Licensed Target, which delegations shall be reflected in the minutes of the meetings of the JSC. Such Working Groups may be established on an ad hoc basis for purposes of a specific project, for the life of the Research Term or on such other basis as the JSC may determine, and shall be constituted and shall operate as the JSC may determine; provided that each Working Group shall have equal representation from each Party and decision making shall be by consensus. Each Working Group and its activities shall be subject to the direction, review and approval of, and shall report to, the JSC. The Alliance Managers will prepare for approval by the JSC a charter for each Working Group, which charter will reflect the agreed upon scope of activities for each Working Group. In no event shall the authority of the Working Group exceed that specified for the JSC in this Section 2.2 (Joint Steering Committee).
Subcommittees and Working Groups. In areas of particular importance to the development of the EUN, subcommittees or Working Groups can be set up by the Steering Committee. The general task of a subcommittee or a working group can be to: • Bring together representatives of the members of the Consortium to address an area of common interest or a specific task or to • Coordinate a set of activities or a specific project of the EUN When setting up a subcommittee or working group, the Steering Committee shall also adopt the major objectives of the subcommittee or working group. The EUN Office shall provide the necessary supporting service for subcommittees and working groups. Each subcommittee and working group shall provide regular reports and in addition report to the Steering Committee when requested. Based on this, the Steering Committee may decide to stop the activities of the subcommittee or working group.
Subcommittees and Working Groups. Subcommittees and Working Groups The Steering Committee shall have the following subcommittees and working groups which shall be composed and operate in accordance with terms of reference established by the Steering Committee:
(a) Operations Committee;
(b) Data, Performance, Quality and Continuous Improvement Working Group;
(c) OHT Support Working Group; and
(d) such other subcommittees or working groups as may be established by the Steering Committee from time to time.

The JSC may create, when advisable, other subcommittees or working groups (such as, for example, a joint project team in charge of day-to-day communication and operation of the Development activities in the Territory), comprised of representatives of each Party having qualifications and experience relevant to a productive dialogue on the subject matter of each such subcommittee (collectively with the JDC, JCC and JMC, the “Subcommittees”).

Each Working Group and its activities shall be subject to the direction, review and approval of, and shall report to, the JSC. The Alliance Managers will prepare for approval by the JSC in accordance with Section 2.1(c) a charter for each Working Group, which charter will reflect the agreed upon scope of activities for each Working Group; provided, for clarity, that (A) the scope of the Working Group’s activities may address items and activities that are not included in the DC Criteria for a given Designated Target (e.g., combination studies, biomarkers, translational activities, transitional activities, patent prosecution, etc.), and (B) at all times Schrödinger will be solely responsible for the synthesis queue and modeling strategy for each Designated Target. If a Working Group proposes that the Parties conduct additional activities as part of the Research Program, such activities (including the roles and responsibilities for each Party for such activities and, if applicable, the budget for non-DC Criteria required items) shall be set forth in the Research Plan or an amendment to the Research Plan for the applicable Designated Target. In no event shall the authority of the Working Group exceed that specified for the JSC in this Article 2. Such Working Group may have the form of functional team or multifunctional project team(s); and oversee particular projects or activities within the forming Committee’s authority. Each such Subcommittee shall operate in the same manner as the forming Committee, as described in Section 2.7, and each such Working Group shall be constituted and shall operate as the forming Committee determines; provided that no Subcommittee or Working Group shall have any decision-making authority, but shall instead make recommendations to the forming Committee with respect to such matters within its authority.
