Sub-agents and sub-servicers. 3.4.1 The Servicer may sub-contract all or part of the Pool Services to any member of the NIBC Group without restriction. Further, subject to Clause 3.4.2, the Servicer may appoint any other person as its sub-agent or sub-servicer to carry out the Pool Services on such terms as it deems necessary, provided that it shall always use reasonable care in the selection and continued appointment of such person. Any sub-contracting in accordance with this Clause shall not in any way relieve the Servicer from its obligations under this Agreement in respect of the provision of any of the Pool Services for which it shall continue to be liable as if no such appointment had been made and as if the acts and omissions of the sub-agent or sub-servicer were the acts and omissions of the Servicer.

The Supplier shall pay any undisputed sums which are due from it to a Sub-Contractor within thirty (30) days from the receipt of a valid invoice.
