Strategic Partners. Tenant may Sublease portions of the Premises to Tenant's Strategic Partners (as defined below) without Landlord's prior consent, subject to the following conditions: (1) after any such Sublease, Tenant shall continue to directly occupy at least eighty percent (80%) of the Rentable Area in the Premises; and (2) Tenant shall provide Landlord with written notice at least thirty (30) days' prior to any such Sublease including the name of the Strategic Partner, the location of the subleased space, the name and address of the Strategic Partner's agent for service of process and delivery of notices under this Lease, and a certification by an officer of Tenant that the subtenant is a "Strategic Partner" as defined in this Paragraph 11(h). Any Strategic Partner subleasing a portion of the Premises shall maintain an agent for service of process and notice, and notify Landlord of any changes in such agent, at all times during the term of such sublease. The term "Strategic Partner" shall refer to any entity (i) in which Tenant holds an ownership interest of at least ten percent (10%), (ii) that is engaged in a business which Tenant believes to be of strategic importance to its own business, and (iii) that Tenant determines, in its reasonable business judgment, would benefit Tenant's business by conducting its own business within Tenant's Premises.

Strategic Partners. (a) The parties hereto acknowledge and agree that (i) the Sponsors are strategic partners of the Company for purposes of Article 367 of the Securities Market Law; and that the maximum percentage of the capital stock of the Company they could potentially hold is 100%, and (ii) this Agreement is recognized in the By-laws of the Company.
Strategic Partners. Strategic Partners, whether schools, universities or other organisations, will have the competence, capacity and commitment for delivery in particular areas of the teaching school role. Strategic Partners. 1.3.1 When the Organization signs an agreement with a Strategic Partner, other than a contract for the provision of goods or services that contains an element of profit, subject to CIDA’s written approval, CIDA may reimburse the Organization for the Strategic Partner’s rates in accordance with the Reimbursement Mechanism 1, paragraph 1.1 and travel costs in accordance with 1.8.1. The Strategic Partner must provide with its request for reimbursement a non-profit certification with supporting documents, confirming that no profit is included in the daily rates claimed.
Strategic Partners. Notwithstanding anything to the contrary in this Section 5.6, Landlord acknowledges that Tenant may allow certain strategic partners of Tenant to sublease a portion of the Leased Premises (not to exceed 2,000 rentable square feet in each instance and not to exceed 6,000 rentable square feet collectively) consistent with the Permitted Uses. Landlord agrees that, notwithstanding any other provision of this Lease to the contrary, the strategic partner shall be permitted to use and occupy the Leased Premises in accordance with, and subject to the applicable terms and conditions of, this Lease with no further consent of Landlord required; provided, however, Tenant shall promptly provide Landlord in writing with the name of any such strategic partner, a copy of the sublease, and/or the terms and conditions of the strategic partner’s use and occupancy of the Leased Premises.
