Stock Plan and Defined Terms. The Option and this Option Agreement are subject to the 1997 Plan, a copy of which the Optionee acknowledges having received. The provisions of the 1997 Plan are incorporated into this Option Agreement by this reference (although (i) the "Company" and the "Stock," for purposes of the 1997 Plan, shall be deemed to be "Trega" and "Trega Common Stock," respectively, from and after the Effective Time and (ii) to the extent that any conflict shall exist between the terms of this Option Agreement and the 1997 Plan, the terms of this Option Agreement shall control).
