Stock Consideration. The issuance of the Stock Consideration to the Seller Shareholders has been duly authorized and, when issued in accordance with the terms of this Agreement, will be validly issued, fully paid and nonassessable. Except as otherwise provided in this Agreement, the Stock Consideration and the issuance thereof to the Shareholders will be free and clear of all preemptive (or similar) rights, taxes and Liens other than those created or suffered to exist by the Shareholders.
