Status of the Subadviser. The services of the Subadviser to the Adviser and the Trust are not to be deemed exclusive, and the Subadviser shall be free to render similar services to others so long as its services to the Trust are not impaired thereby. The Subadviser shall be deemed to be an independent contractor and shall, unless otherwise expressly provided or authorized, have no authority to act for or represent the Trust in any way or otherwise be deemed an agent of the Trust.

In the event of such activities, the transactions and associated costs will be allocated among such clients (including the Portfolio(s)) in a manner that the Subadviser believes to be equitable to the accounts involved and consistent with such accounts' objectives, policies and limitations.

Nothing in this Agreement shall impose upon the Subadviser any obligation to purchase or sell, or to recommend for purchase or sale, any security which the Subadviser, or its shareholders, directors, officers, employees or affiliates may purchase or sell for its or their own account(s) or for the account of any other client.

Each of Adviser and the Subadviser will provide the other party with a list, to the best of Adviser’s or Subadviser’s respective knowledge, of each affiliated person (and any affiliated person of such an affiliated person) of Adviser or the Subadviser, as the case may be, and each of Adviser and the Subadviser agrees promptly to update such list whenever Adviser or the Subadviser becomes aware of any changes that should be added to or deleted from the list of affiliated persons.

Nothing herein shall prevent the Subadviser, its principals and affiliates from trading in financial instruments or other investments for their own accounts or for other accounts the Subadviser or its affiliates manage. The Subadviser shall be deemed to be an independent contractor and shall, unless otherwise expressly provided or authorized, have no authority to act for or represent the Trust in any way or otherwise be deemed an agent of the Trust.

It is understood that the Subadviser performs investment advisory services for various clients other than the Adviser, including accounts of clients in which the Subadviser or associated persons have a beneficial interest. The Subadviser may give advice and take action in the performance of its duties with respect to any of its other clients which may differ from the advice given, or the timing or nature of action taken, with respect to the Assets of each Portfolio. Nothing in this Agreement shall be deemed to impose upon the Subadviser any obligation to purchase or sell for a Portfolio any security or other property which the Subadviser purchases or sells for its own accounts or for the account of any other client.
