Status of Documents. Each of (a) the Organizational Documents, (b) the Construction Contract, (c) the Design Professional’s Contract, (d) the Civil Engineer’s Contract and (e) all other Project Documents is in full force and effect and free from any default on the part of Owner which would have a Material Adverse Effect. Such documents are hereinafter sometimes collectively called the “Basic Agreements”. Borrower has provided Lender with true, correct and complete copies of the Basic Agreements.
Status of Documents. 52.1 The Statutory Instruments Act, or any successor legislation, will not apply to a land code or to First Nation laws.

Except as varied by the terms of this letter, the Senior Revolving Facility Agreement, will remain in full force and effect and any reference in the Finance Documents to the Senior Revolving Facility Agreement or to any provision of the Senior Revolving Facility Agreement will be construed as a reference to the Senior Revolving Facility Agreement or that provision, as amended by this letter.

By countersigning this Waiver Letter, the Borrower and the Guarantors each hereby confirms its agreement to the terms of this Waiver Letter and further confirms that its obligations under the Finance Documents (including, without limitation, the guarantees and security (including the priority of ranking of such security) provided thereby) shall continue in full force and effect.

By countersigning this Amendment Letter, the Borrower and the Guarantors each hereby confirms its agreement to the terms of this Amendment Letter and further confirms that its obligations under the Finance Documents (including, without limitation, the guarantees and security (including the priority of ranking of such security) provided thereby) shall continue in full force and effect.
Status of Documents. 4.1. In the event of any conflict between the terms of any Quote and the terms of this Agreement, the terms of this Agreement shall take precedence.

(a) Subject to Condition 8.1(c), on each application to register the transfer of any Notes or to register any person as the holder in respect of any Notes transmitted to that person by operation of law or otherwise, the Note Certificate (if any) specifying the Notes in respect of which registration is required must be delivered to the Issuer for cancellation and on registration the Note Certificate is considered to have been cancelled.
