STATE STREET BANK AND TRUST COMPANY and BlackRock may each assign its respective rights and duties hereunder to any affiliate of such assigning party provided that the assigning party obtains the Company’s prior written consent to such assignment, which consent shall not be unreasonably withheld or delayed.
