State Regulatory Approval. Promptly after the date of this Agreement, but no later than thirty (30) days after the date hereof, Buyer and Seller shall use commercially reasonable efforts to file the appropriate applications and notices with the Commission seeking orders permitting the transfer of service in the Seller Exchanges to Buyer (collectively, the "Regulatory Approvals"). Buyer shall be responsible for seeking to establish the tariff for its post-Closing operations in the Seller Exchanges. Each of Buyer and Seller shall use its commercially reasonable efforts to obtain the Regulatory Approvals and the parties agree to cooperate fully with each other and with the applicable regulatory agency to obtain the Regulatory Approvals at the earliest practicable date. In the event the Commission imposes any condition, term or restriction as more particularly described in clauses (a) and (b) of Section 6.3.2, each of Buyer and Seller shall use its commercially reasonable efforts to seek modification or removal of such condition such that the Regulatory Approvals shall conform to the standards set forth in Section 6.3.2.

Buyer agrees to use its commercially reasonable efforts to obtain the Regulatory Approvals and Seller agrees to cooperate fully with Buyer and with the applicable regulatory agency to obtain the Regulatory Approvals at the earliest practicable date.

Promptly after the date _________________________ of this Agreement, Buyer, and where required Buyer and Seller, shall file the appropriate application(s) and notice(s) with the Michigan Public Service Commission, seeking an order permitting the transfer of service in the Purchased Exchanges to Buyer (the "Regulatory Approval"). Buyer will be responsible for establishing the tariff for its post-Closing operations in Michigan. To the extent assignable, Seller will assign its local community right of way agreements to Buyer. Buyer agrees to use its best efforts to obtain the Regulatory Approval and the parties agree to cooperate fully with each other and with the applicable regulatory agency to obtain the Regulatory Approval at the earliest practicable date.

If an entity interested in becoming a WEIS Participant must seek and obtain authorization from a state regulatory authority exercising jurisdiction over that entity prior to executing this Agreement, SPP will meet with that entity to determine whether the modification or condition imposed is acceptable and if so, negotiate the accommodation of such modification or condition.

Buyer will be responsible for establishing the tariff for its post-Closing operations in the Purchased Exchanges. Each party agrees to use its commercially reasonable efforts to obtain the Regulatory Approvals and the parties agree to cooperate fully with each other and with the applicable regulatory agency to obtain the Regulatory Approvals at the earliest practicable date.

Each party agrees to use its commercially reasonable efforts to obtain the Regulatory Approvals and the parties agree to cooperate fully with each other and with the applicable regulatory agency to obtain the Regulatory Approvals at the earliest practicable date.

Any necessary approvals from state public utility regulatory bodies have been obtained, made or given authorizing all transactions and payments contemplated in the Acceptable Transmission Services Agreement, including the approval of power purchase agreements, as applicable, on terms that are acceptable to the customer and the Clean Line Parties.
