Standards of Services. The Supplier must:
Standards of Services. CONTRACTOR agrees to furnish USAir, the SERVICES contemplated hereunder on an impartial basis, and to require its employees to render such SERVICES in a courteous and efficient manner. The SERVICES Performed hereunder by CONTRACTOR shall be provided to the sole satisfaction of USAir. CONTRACTOR shall be responsible for the direct supervision of all Security Personnel designated representatives who will be available at reasonable times to consult with USAir's designated representative.
Standards of Services. All services hereunder shall be performed by employees or agents of Seller who are experienced and highly skilled in their professions and in accordance with the highest standards of workmanship in their profession. Seller shall not change or transfer such employees once assigned except for good cause. Buyer shall have the right to request and have replaced any personnel who fail to perform to Xxxxx's satisfaction.
Standards of Services. Each Seller Entity and Purchaser will use reasonable efforts to cause any and all personnel providing Seller Services or Purchaser Services to perform such services with the same degree of care, skill and diligence with which it causes similar services to be performed for itself and its various other affiliates.
Standards of Services. PMR and Hospital hereby agree, in connection with the operation of Hospital and the Program, to comply with all laws, rules, and regulations of all governmental authorities having jurisdiction over each, and any recommendations and policies resulting from Hospital's quality assurance program and its general policies and procedures as well as recommendations made by PMR's Vice President-Quality Assurance which recommendations are designed to comply with applicable laws, rules, or regulations. The parties hereto acknowledge that a material part of the consideration for this Agreement is the other party's compliance with the provisions of this Section 5. The parties further acknowledge that the non-compliance by either with any of the applicable laws, rules, and regulations applicable to such party may have a material adverse effect on the other party. The parties therefore agree to cooperate in good faith with each other to monitor and ensure such compliance.
Standards of Services. USL shall use reasonable efforts to cause any and all personnel providing USL Services to perform such USL Services with the same degree of care, skill and diligence with which it causes similar services to be performed for itself and its various other subsidiaries.
Standards of Services. NEON shall use its reasonable efforts to cause any and all personnel providing the Services to (i) perform such Services with the same degree of care, skill and diligence with which it causes similar services to be performed for itself and its various other subsidiaries, and (ii) in cases where the Services entail providing third party services to PBTC, utilizing the same or comparable vendors that are used by itself and its various other subsidiaries.
Standards of Services. Xxxxx shall provide all of the services required by this eFile Agreement and all reasonably related services in accordance with applicable professional standards of a contractor providing systems development and related services. Xxxxx represents and warrants that it has the requisite qualifications, experience, personnel and other resources to perform in the manner required by this eFile Agreement.
Standards of Services. The Supplier must: provide fit for purpose Services in a timely and efficient manner using the standard of care, skill, diligence, prudence and foresight that would reasonably be expected from a prudent, expert and experienced provider of services that are similar to the Services; promptly notify CSV as soon as it becomes aware of any delay or possible delay in the supply of the Services; use appropriately skilled and qualified Personnel to provide the Services; act in good faith and in the best interests of CSV; and provide any and all equipment necessary for the performance of the Services. Failure to Perform Without limiting any other available remedy, if the Supplier fails to provide any of the Services in accordance with the Agreement, CSV will not be required to pay for those Services (until they are provided correctly) and may require the Supplier to remedy any default or re-perform the Services within a reasonable time. If the default referred to in clause 17 a) is not capable of being remedied or the Services are not capable of being re-performed, or the Supplier fails within the time specified to remedy the default or re-perform the Services, CSV may either have the Services remedied or re-performed by a third party or do so itself. In either case, the Supplier must pay the reasonable costs incurred by CSV in doing so.
Standards of Services. 1. Gimme Love will lease the Animal Shelter located at 000 X. Xxx, Xxxxxxxx, XX from City for $1.00 per year.
