Common use of Standards Bodies Clause in Contracts

Standards Bodies. (i) The Company has not and has never been a member of, a contributor to, or affiliated with, any industry standards organization, body, working group, or similar organization, and (ii) neither the Company nor any Company-Owned Intellectual Property is subject to any licensing, assignment, contribution, disclosure, or other requirements or restrictions of any industry standards organization, body, working group, or similar organization.

Standards Bodies. (i) The Company has Acquired Companies have not and has have never been a member of, a contributor to, or affiliated with, any industry standards organization, body, working group, or similar organization, organization and (ii) neither none of the Company nor Acquired Companies or any Company-Owned Intellectual Property is subject to any licensing, assignment, contribution, disclosure, disclosure or other requirements requirement or restrictions restriction of any industry standards organization, body, working group, or similar organization. The Company has Made Available to Parent accurate and complete copies of all governing documents and other Contracts (including charter, bylaws, and participation guidelines) relating to any Acquired Company’s membership in, contribution to, or affiliation with any industry standards organization, body, working group, or similar organization.

The Company has provided Acquirer with accurate and complete copies of all governing documents and other Contracts (including charter, bylaws, and participation guidelines) relating to the Company’s membership in, contribution to, or affiliation with any industry standards organization, body, working group, or similar organization.

The Company and each Company Subsidiary has provided Acquirer with accurate and complete copies of all governing documents and other Contracts (including charter, bylaws, and participation guidelines) relating to any licensingthe Company’s membership in, assignment, contribution, disclosurecontribution to, or other requirements or restrictions of affiliation with any industry standards organization, body, working group, or similar organizationorganization (the “Standards Bodies Agreements”).
