Special Voting Unit. The special voting unit and the limited partner interest represented thereby to be issued by the Partnership to Ares Voting LLC, a Delaware limited liability company, on the Closing Date as described in the Registration Statement, the Pricing Disclosure Package and the Prospectus (the “Special Voting Unit”) has been duly authorized and, when issued and delivered in accordance with the terms of Partnership Agreement, will be validly issued, and will conform in all material respects to the description thereof contained in the Registration Statement, the Pricing Disclosure Package and the Prospectus, and the issuance of such Special Voting Unit will not be subject to any preemptive or similar rights.

Following the occurrence of an Event of Default, all dividends and all other distributions in respect of any of the Collateral, shall be delivered to the Pledgee to hold as Collateral and shall, if received by any Pledgor, be received in trust for the benefit of the Pledgee, be segregated from the other property or funds of any other Pledgor, and be forthwith delivered to the Pledgee as Collateral in the same form as so received (with any necessary endorsement).
