Spacecraft. Inmarsat assumes the risk of any actual or constructive loss of or damage to the Spacecraft prior to, during, and after Launch, including any loss or damage resulting from the non-availability of or inability to use the Spacecraft following Launch. Inmarsat shall indemnify, defend, and hold harmless Sea Launch and its Related Third Parties against all claims and actions based in whole or in part on loss or damage to the Spacecraft, including loss or damage resulting from the non-availability of or inability to use the Spacecraft. This assumption of risk and indemnification shall not apply (i) to the extent that the loss or damage is caused by the intentional misconduct of Sea Launch or its Related third Parties. Inmarsat shall ensure that its insurers waive all rights of subrogation against the Sea Launch and its Related Third Parties.

Spacecraft. The purpose of this Memorandum of Understanding is to define the terms and conditions of scientific and technical cooperation between the U.S. National Aeronautics and Space Administration (NASA) and the Brazilian Space Agency (AEB) regarding the provision by the Brazilian National Space Research Institute, INPE, of the Ministry of Science and Technology, of the Humidity Sounder for Brazil (HSB) instrument on NASA’s Earth Observing System (EOS) PM-1 spacecraft. EOS PM-1 is NASA’s primary contribution to the International Earth Observing System (IEOS). IEOS is itself part of a larger international effort including the International Geosphere-Biosphere Program, the World Climate Research Pro- gram, and associated Global Change research programs,-- to advance multidisci- plinary study of the Earth and long-term systematic monitoring of changes in the Earth system. HSB is scheduled for flight in the year 2000 on EOS PM-1, in conjunction with the Atmospheric Infrared Sounder (AIRS) and the Advanced Microwave Sounding Unit (AMSU). The data from the HSB instrument are highly related to and will be correlated with AIRS and AMSU. HSB will be a significant contribution to the advanced atmospheric sounding package on EOS PM-1 and the larger international moni- toring efforts of which it is a part. NASA will work together with AEB in this endeavor. INPE will be the implementing agency responsible for carrying out this MOU for the AEB. To this end, NASA and AEB agree on the following arrangements of this cooperative effort. TIAS 12820

CUSTOMER shall use commercially reasonable efforts to ensure that its insurers waive all rights of subrogation against the CONTRACTOR and its Related Third Parties.

ArQit undertakes to submit invoices to ESA on a timely basis under and in accordance with the ESA Contract and, if and to the extent that it has not done so or has otherwise failed to perform its obligations (including those related to timing) under the ESA Contract and such failure has solely and directly caused the non-payment of the ESA Funded Milestone Payment by ESA, ArQit shall be required to make payment of the ESA Funded Milestone Payment to Qinetiq notwithstanding non-payment of that amount by ESA. Each invoice shall be sent in electronic copy to the Customer followed by an original. The invoice must be accompanied by a certification from an officer of the Contractor, that the particular milestone events (for which payment is being claimed in each case) have been completed accompanied by supporting documentation demonstrating completion of such milestone.

Faced with three strategic possibilities for how to use their cash piles - extract oil and gas apace, move their businesses into renewable power and energy transition assets or return money to shareholders - the supermajors have largely sprung for the third option in recent weeks. In other words, Exxon Mobil Corp., Chevron Corp., BP Plc, Shell Plc and TotalEnergies SE “choose cash over climate,” as Bloomberg reporter Xxxxx Xxxxxxx wrote recently. Shareholders seem to support this position: Resolutions that would have forced the companies to align with Paris Agreement climate targets failed. BP and Shell have also pulled back on their strategies to cut fossil fuel production. This may seem like a major change in capital allocation for the energy transition. But it says more about company strategy than about investment at the trillion-dollar scale. To put it another way: Oil majors retreating from clean-energy investment means more to oil majors than it means to the energy transition. From 2015 through 2022, oil and gas majors - not just the five supermajors above but also companies like Repsol SA in Spain and Petronas in Malaysia - invested a combined $113 billion in low-carbon assets and technologies. Of that, more than half came in 2021 and 2022 alone. It’s a reasonable sum, cer- tainly, but it needs context to understand the role the com- panies played in decarbon- ization. Over the same period of 2015 through 2022, energy- transition investment from all companies and sectors came to more than $4.8 trillion.
