Source Code Restrictions. Without limiting Section 4.7, each Party, as a Licensee, acknowledges and agrees that the source code of the Licensed Software licensed to such Party as Licensee is subject to the following restrictions: (a) Licensee’s rights to internally use, modify and create derivative works of the source code of such Licensed Software are solely for the purpose of internally evaluating the source code for debugging, correcting errors in the source code and creating object code versions of such Licensed Software, but not to create any other derivative works of such source code or to use or modify such source code for any other purpose. (b) Except as expressly licensed herein, any use or distribution of such Licensed Software that requires the source code of the Licensed Software to be made available to anyone but the Licensee is expressly prohibited. Such prohibited use includes, but is not limited to, the incorporation of such source code of the Licensed Software into Software licensed under an Open Source License.
Source Code Restrictions. CUSTOMER will not (and will not authorize or knowingly permit any third party to): (i) disclose all or any portion of the Source Code for the Shape Security SDK Software or related Documentation to anyone other than its employees on a need-to-know basis solely for purposes authorized under this Product Schedule, provided such employees are expressly bound by the nondisclosure obligations and restrictions on use contained in the Agreement; (ii) reproduce all or any portion of the Source Code for the Shape Security SDK Software, in any form or medium, except as necessary for exercising its rights under this Product Schedule; (iii) allow hard copy printouts of any portion of the Source Code for the Shape Security SDK Software to exist except within secured locations; (iv) allow soft copy versions of any portion of the Source Code for the Shape Security SDK Software to reside on computers or networks unless such computers or networks are password protected (with such passwords only being made available to such employees); or (v) use any portion of the Source Code for the Shape Security SDK Software for any purpose not specifically authorized in this Product Schedule. CUSTOMER will advise all employees with access to any portion of the Source Code for the Shape Security SDK Software of their responsibilities under this Product Schedule and their respective individual confidentiality agreement both at the time such person’s access to the Source Code for the Shape Security SDK Software commences, and at the time such access terminates. CUSTOMER will be responsible for any breach of the requirements in this Section 8(d) by any employee of CUSTOMER.
Source Code Restrictions. Company agrees not to copy, modify, translate, decompile, reverse engineer, disassemble, or otherwise determine or attempt to determine source code from the System, the Service and the Intellectual Property pertaining thereto or to create any derivative works based upon the System, the Service and/or the Intellectual Property pertaining thereto, and agrees not to permit anyone under Company's control or to authorize anyone else to do so.

Source Code Restrictions. NMS agrees not to copy, modify, translate, decompile, reverse engineer, disassemble, or otherwise determine or attempt to determine source code from the System, the Healtheon Service and the Intellectual Property pertaining thereto or to create any derivative works based upon the System, the Healtheon Service and/or the Intellectual Property pertaining thereto, and agrees not to permit or authorize anyone else to do so. Notwithstanding the foregoing, Healtheon acknowledges and agrees that this in no way prohibits NMS from independently developing a system, software, application or tool that is similar in feature and functionality to the Healtheon Service without using any of Healtheon's Confidential Information or Intellectual Property. Healtheon acknowledges that NMS asserts that it began a development project that may have included similar features and functionality to the Healtheon Service, and that such project has been suspended. NMS agrees to provide Healtheon with written notice at least thirty (30) days prior to NMS (i) committing resources to develop a Web-based benefits enrollment application or service with a project plan and deliverables; (ii) making a written or oral commitment to an existing or prospective customer that it is developing and/or will provide a non-Healtheon Web-based benefits enrollment application or service; or (iii) communicating in its sales and marketing program or materials that NMS is developing or will provide a non-Healtheon Web-based benefits enrollment application or service. Healtheon has the right to terminate this Agreement immediately upon receipt of such notice or the discovery of any of the foregoing events. Healtheon acknowledges that NMS, on a regular basis, enhances its capabilities to provide employer/broker self-service capabilities to its existing benefits administration systems and that these types of enhancements are not subject to this Section.
Source Code Restrictions. Licensee agrees not to decompile, reverse engineer, disassemble or otherwise attempt to determine source code for the executable code of the Licensed Software Products or to create any Derivative Works based upon the Licensed Products or Documentation, and agrees not to permit or authorize anyone else to do so.

You will be responsible for any breach of the requirements in this Section by any of your employees.
Source Code Restrictions. Notwithstanding anything in this Agreement to the contrary, Licensee has no right to transfer, distribute, transmit or otherwise provide the Source Code to any third party. All modifications and derivative works of the Source Code and the Licensed Materials made by or for Licensee shall be the sole property of Xilinx, and Licensee shall acquire no greater rights therein than specifically provided for hereunder, provided that Licensee shall have no obligation to provide such modifications or derivative works to Xilinx or any third party. Licensee accepts the Source Code in “as-is” condition, and agrees that any modifications or other uses of the Source Code are made solely at Licensee’s risk. Xilinx accepts no liability whatsoever for any such modifications or other uses. Licensee further acknowledges and agrees that Xilinx does not commercially support the Source Code, and that the normal Xilinx support facilities will not be made available for the Source Code, including without limitation hotline, documentation, upgrades or future releases.
Source Code Restrictions. IeC agrees not to decompile, reverse engineer, disassemble, or otherwise determine or attempt to derive source code for the MAX proprietary technology or to create any Derivative Works based upon the MAX proprietary technology and agrees not to permit or authorize anyone else to do so, except as expressly permitted by MAX.
Source Code Restrictions. In addition to the obligations under Section 10.2, Licensee agrees that it will disclose the Source Code only to those employees and Qualified Developers who have a need to know such information and who have signed a written confidentiality agreement prior to receiving access to the Source Code, which is consistent with the protections required under this Agreement. Licensee shall ensure that all its employees and Qualified Developers who have access to the Source Code are adequately instructed as to the Source Code handling requirements hereunder and shall take adequate precautions to prevent unauthorized use or disclosure of the Source Code. Without limiting the foregoing provisions, Licensee and its employees and Qualified Developers shall protect the Source Code during the Term by: (a) keeping all copies of Source Code in secure, locked facilities when such copies are not in actual use; (b) marking storage media, printouts, machine-readable files, and other copies or extracts of the Source Code with a restrictive legend stating that such materials are proprietary and confidential to Licensor and that their handling is subject to the terms of this Agreement; (c) maintaining current records that show: (i) each employee or Qualified Developer authorized to access the Source Code, and (ii) each physical storage media containing the Source Code and its location (other than such media under the control of a Qualified Developer); and (d) implementing appropriate systems security for Source Code which is stored in soft copy or electronically in information processing systems, including password protection and completely overwriting any physical storage media containing Source Code before it is released for reuse.
