Source Code Deposit. (1) The Seller as legal and beneficial owner of all Intellectual Property rights in the Computer Software agrees to provide to the Purchaser at Completion installed on a computer (being one of the Assets to be taken over by the Purchaser under this agreement) at the Altox xxxice a copy Iof the source code in machine readable form relating to the Computer Software and to provide the source code to all upgrades thereof issued by the Seller or the Seller's Group and, only to the extent needed to continue to operate the Business in the same manner as it is being operated at the date of this agreement, the Seller grants the Purchaser a non-exclusive, non-transferable licence to copy, use or modify such source code in the UK for any customer with a valid License Code. For the avoidance of doubt, the Purchaser shall not be entitled to distribute the source code or disclose the source code or any part thereof to any third party.

Upon request, Consultant will show Harvard the agreement with the Escrow Agent that sets forth the above-specified terms under which the escrowed materials will be released to Harvard and the fees that Harvard will be responsible to pay to the Escrow Agent for this service, if any. amounts of actively used data, Harvard should safeguard its continued use of that software even if the consultant becomes unable to provide maintenance. If the consultant will not license the Source Code at the outset of the relationship, it should agree to put that Source Code in escrow for Harvard's use for these kind of situations.
Source Code Deposit. Contractor hereby grants City a license to use, reproduce, and create derivative works from the Deposit Material for City’s governmental purposes as necessary to maintain and support the System. Within 30 business days of the Effective Date, Contractor shall deposit the source code for the System, as well as the Documentation and names and contact information for each author or other creator of the System, with a third-party software escrow agent that is mutually agreed to by the Contractor and the City. Upon the occurrence of a Release Condition (as defined below), Contractor shall provide City with the Deposit Materials and all necessary information to allow City to access and utilize the Deposit Materials as provided in this Section, including the passwords or authentication tokens necessary to City’s access to the Deposit Materials. The termRelease Conditions,” as used in this Agreement, refers to any of the following: (a) material breach by Contractor, if such breach remains uncured for 30 or more business days after City written notice; (b) any failure of Contractor to function as a going concern; (c) appointment, application for, or consent to a receiver, trustee, or other custodian for Contractor or its assets;

Source Code Deposit. The magnetic tapes containing the Source Code have been deposited with the law firm of Cobb, Xxxx & Xell, X.A., 150 Xxxxxxxx Xxxxxx, Xxxxxxx Xxxxx, Xxxxxxx 00000, xx accordance with the Source Code Deposit Agreement attached hereto as Exhibit B.
Source Code Deposit. Concurrently with each delivery of software to ------------------- Customer, Ambix shall deposit a copy of the Source Code to the version of the Software then being delivered to Customer with the Escrow Agent named in Schedule VI. Such Source Code shall be held and delivered by the Escrow Agent in accordance with the terms and conditions of the Escrow Agreement which forms Schedule VI of this Agreement. Ambix shall pay all industry comparable fees of the Escrow Agent. Upon request, Customer may compare and verify each deposit of Source Code to ensure that it corresponds to the Object Code version of the Software then being delivered to Customer. Such comparison and verification shall take place upon not less than two business days notice, and shall be performed at such place and by such persons as Customer shall reasonably designate according to all terms and conditions of this Agreement. Customer may elect at its option to retain a third party consultant to perform comparison and verification of the Software, upon first having such consultant execute a confidentiality agreement with Customer regarding the Software.
