Sophisticated Investors. The Investors are sophisticated investors (as described in Rule 506(b)(2)(ii) of Regulation D) and a accredited investor (as defined in Rule 501 of Regulation D), and have such experience in business and financial matters that they are capable of evaluating the merits and risks of an investment in the Units. The Investors acknowledge that an investment in the Common Stock is speculative and involves a high degree of risk.
Sophisticated Investors. The Consultant represents and warrants that by reason of income, net assets, education background and business acumen, he has the experience and knowledge to evaluate the risks and merits attendant to an investment in the Shares, either singly or through the aid and assistance of a competent professional, and is fully capable of bearing the economic risk of loss of his/her total investment in the Company.
Sophisticated Investors. Each of the Consultants represents and warrants that by reason of income, net assets, education background and business acumen, he/she has the experience and knowledge to evaluate the risks and merits attendant to an investment in shares of common stock of the Company, either singly or through the aid and assistance of a competent professional, and are fully capable of bearing the economic risk of loss of his/her total investment in the Company.
Sophisticated Investors. Each of the Participant 1 is a sophisticated investor, able to understand the merits and risks of entering into this Agreement and consummating the transactions contemplated herein, and has had access to all information concerning the Company, its assets, liabilities and business that Participant 1 believe is material to their respective investment decisions.
Sophisticated Investors. Each of the Employees/Consultants represents and warrants that, by reason of income, net assets, education, background and business acumen, the Employees/Consultants have the experience and knowledge to evaluate the risks and merits attendant to an investment in shares of common stock of RMEC, either singly or through the aid and assistance of a competent professional, and are fully capable of bearing the economic risk of loss of the total investment of services.
Sophisticated Investors. Such Buyer has such knowledge, skill and experience in business, financial and investment matters so that it is capable of evaluating the merits and risk of an investment in the Series A Preferred Shares, the Conversion Shares, the Exchange Shares and the Warrant Shares and, to the extent necessary, has retained, at its own expense, and relied upon appropriate professional advice regarding the investment, tax and legal merits and consequences of such Buyer's investments in the Series A Preferred Shares, the Conversion Shares, the Exchange Shares and the Warrant Shares.
Sophisticated Investors. [Consultant] represents and warrants that, by reason of income, net assets, education, background and business acumen, [Consultant] has the experience and knowledge to evaluate the risks and merits attendant to an investment in Common Shares in the capital stock of San Xxxxxxxx, either singly or through the aid and assistance of a competent professional, and is fully capable of bearing the economic risk of loss of the total investment of services.
Sophisticated Investors. The consultant represents and warrants that by reason of income, net assets, education background and business acumen, he has the experience and knowledge to evaluate the risks and merits attendant to an investment in shares of common stock in the Company, either singly or through the aid and assistance of a competent professional, and is fully capable of bearing the economic risk of loss of his/her total investment in the Company. The Consultant further represents and warrants that he is familiar with the provisions of S-8 issued stock and will comply with all applicable law in the sale of the shares received as compensation under this Agreement.
Sophisticated Investors. Each of the Consultants represents and warrants that, by reason of income, net assets, education, background and business acumen, the Consultants have the experience and knowledge to evaluate the risks and merits attendant to an investment in shares of common stock of Triple Chip, either singly or through the aid and assistance of a competent professional, and are fully capable of bearing the economic risk of loss of the total investment of services.
Sophisticated Investors. The Original Shareholders each represent and warrant that he has sufficient investment sophistication and ability to take the financial risks associated with this transaction, and those representations contained in this article 2.02, which meet the standards for availability of an exemption from the registration requirements of the 1933 Act, and from the registration and/or qualification requirements of any other applicable law.
