Common use of Solvency Assurances Clause in Contracts

Solvency Assurances. On the Closing Date, Administrative Agent and Lenders shall have received an Officer's Certificate dated the Closing Date, substantially in the form of Exhibit IX annexed hereto and with appropriate attachments, demonstrating that, after giving effect to the consummation of the transactions contemplated by the Credit Documents, Borrowers, taken as a whole, and Company will be Solvent.

Solvency Assurances. On the Closing Date, Administrative Agent and Lenders shall have received an Officer's ’s Certificate of Company dated the Closing Date, substantially in the form of Exhibit IX VII annexed hereto and with appropriate attachments, demonstrating that, after giving effect to the consummation of the transactions contemplated by the Credit Loan Documents, Borrowers, taken as Company and all of its Subsidiaries on a whole, and Company consolidated basis will be Solvent.

Solvency Assurances. On the Closing Date, Administrative Agent and Lenders shall have received an Officer's ’s Certificate of Company dated the Closing Date, substantially in the form of Exhibit IX XII annexed hereto and with appropriate attachments, in each case demonstrating that, after giving effect to the consummation of the Acquisition and the other transactions contemplated by the Credit DocumentsLoan Documents and Related Agreements, Borrowers, taken as Company and each Subsidiary Guarantor on a whole, and Company consolidated basis will be Solvent.

On the Closing Date, Administrative Agent and Lenders shall have received an Officer's Certificate of Company from its chief financial officer dated the Closing Date, substantially in the form of Exhibit IX XII annexed hereto and with appropriate attachments, in each case demonstrating that, after giving effect to the consummation of the transactions contemplated by the Credit Loan Documents, Borrowers, taken as a whole, Company and Company each guaranteeing Subsidiary will be Solvent.

Solvency Assurances. On the Closing Date, Administrative Agent and Lenders shall have received an Officer's Certificate of Company dated the Closing Date, substantially in the form of Exhibit IX XII annexed hereto and with appropriate attachments, in each case demonstrating that, after giving effect to the consummation of the transactions contemplated by the Credit Loan Documents, BorrowersLoan Parties, taken as on a wholeconsolidated basis, and Company will be Solvent.

Solvency Assurances. On the Closing Date, Administrative Agent and Lenders shall have received an Officer's Certificate of Company dated the Closing Date, substantially in the form of Exhibit IX XIII annexed hereto and with appropriate attachments, in each case demonstrating that, after giving effect to the consummation of the transactions contemplated by the Credit Loan Documents, BorrowersCompany, Targets and each Subsidiary Guarantor taken as a whole, and Company whole will be Solvent.

Solvency Assurances. On the Closing Date, Administrative Agent and Lenders shall have received an Officer's Certificate of Company dated the Closing Date, substantially in the form of Exhibit IX EXHIBIT X annexed hereto and with appropriate attachments, in each case demonstrating that, after giving effect to the consummation of the Recapitalization and the transactions contemplated by the Credit Loan Documents, BorrowersCompany and its Subsidiaries on a consolidated basis, taken as a whole, and Company will be Solvent.

Solvency Assurances. On the Closing Date, Administrative Agent and Lenders shall have received an Officer's Officers' Certificate executed by the chief financial officer of Borrowers, dated the Closing Date, substantially in the form of Exhibit IX annexed hereto EXHIBIT X and with appropriate attachments, demonstrating that, after giving effect to the consummation of the Refinancing and the other transactions contemplated by the Credit Documentsthis Agreement, BorrowersBorrowers and their Subsidiaries, taken as a whole, and Company will be Solvent.

On the Closing Date, Administrative Agent and Lenders shall have received an Officer's ’s Certificate of Company dated the Closing Date, substantially in the form of Exhibit IX VIII annexed hereto and with appropriate attachments, demonstrating that, after giving effect to the consummation of the transactions contemplated by the Credit Loan Documents, Borrowers, taken as Company and all of its Subsidiaries on a whole, and Company consolidated basis will be Solvent.

On the Closing Date, Administrative Agent and Lenders shall have received an Officer's Certificate of the Company dated the Closing Date, substantially in the form of Exhibit IX VII annexed hereto and with appropriate attachments, in each case demonstrating that, after giving effect to the consummation of the transactions contemplated by the Credit Loan Documents, Borrowersthat the Company, taken as a wholeindividually, and the Company and its Subsidiaries on a consolidated basis will be Solvent.
