Solicitation of Applications. (a) Solicit Non-variable Contract Applications. MLIDC authorizes Broker ------------------------------------------ through its Representatives to solicit applications for the Non-variable Contracts, provided that (i) Broker shall not solicit applications for Non-variable Contracts except in those states where it and its Representatives are appropriately licensed; (ii) in which the Non-variable Contracts are qualified for sale under Applicable Law; and (iii) Broker complies in all other respects with the published policies and procedures of MLIDC or its Affiliates, as applicable, and with the terms of this Agreement.
Solicitation of Applications. 1. Applications received from you and accepted by the Funds will be at the public offering price determined in the manner described in the then current Prospectus of such Funds notwithstanding anything to the contrary in this Agreement. The public offering price for the purchase of the Funds' shares is the Fund's or Portfolio's net asset value per share.
Solicitation of Applications. We will inform you from time to time which products you are authorized to sell. Solicitation of Contracts authorized under this agreement will be performed by you or by solicitors in accordance with the terms set forth below. A solicitor is a properly licensed registered representative who is employed by or associated with you and is appointed by us to solicit Contracts in your name. You are responsible for assuring that all solicitors are persons of good character. You agree not to allow any solicitor to engage in the services authorized under this agreement, except in accordance with this Section. At our option, we may refuse to contract with or appoint any proposed solicitor and may terminate any agreement with or appointment of a solicitor. You will be solely responsible for the payment of any compensation to solicitors, and you agree to hold us harmless from all claims for commissions or other compensation by any solicitor.

Principal Underwriter authorizes Broker through its Representatives to solicit applications for the Non-variable Contracts, provided that (i) Broker shall not solicit applications for Non-variable Contracts except in those states where it and its Representatives are appropriately licensed; (ii) in which the Non-variable Contracts are qualified for sale under Applicable Law; and (iii) Broker complies in all other respects with the published policies and procedures of Principal Underwriter or its Affiliates, as applicable, and with the terms of this Agreement.
Solicitation of Applications. We will inform you from time to time which products you are authorized to sell. Solicitation of Contracts authorized under this Agreement will be performed by you or by solicitors in accordance with the terms set forth below. A solicitor is a properly licensed registered representative who is employed by or associated with Broker and is appointed by us to solicit Contracts in your name. You agree not to recommend a solicitor for appointment by Underwriter unless such person is duly licensed as an insurance agent with Agency in the state(s) in which it is proposed that such Registered Representative or Agent will solicit sales of the Contracts. You will fulfill all requirements set forth in the General Letter of Recommendation attached as Exhibit A, in conjunction with the submission of licensing/appointment papers for all applicants as insurance agents of Underwriter. The solicitor(s) selling a Contract must be identified on each Contract application. If a Registered Representative of Broker is no longer to be treated as the agent of record on a Contract, you must immediately notify us in writing and, within thirty (30) business days of such notice, name a Registered Representative of Broker who will act as the substitute agent of record. You agree not to allow any solicitor to engage in the services authorized under this Agreement, except in accordance with this Section. At our option, we may refuse to contract with or appoint any proposed solicitor and may terminate any agreement with or appointment of a solicitor. Upon written notice by us, you will cause Registered Representatives or Agents to stop soliciting Contracts and additional premiums or purchase payments thereon on our behalf. You agree to notify us immediately in writing if any solicitor appointed by us ceases to be a Registered Representative of Broker, is disciplined or suspended by the NASD or by you, or if any Registered Representative or Agent ceases to be properly licensed or is the subject of a disciplinary proceeding in any state. As it relates to Contracts sold under this Agreement, Broker is solely responsible for the payment of any compensation to solicitors and for withholding and reporting of compensation for taxes, including, without limitation, FICA, FUTA, and federal, state and local income taxes and agrees to indemnify and hold Company and Underwriter harmless from all claims for commissions or other compensation or tax withholding by any solicitor.
Solicitation of Applications. Pursuant to the authority delegated to it by the Company, during the term of this Agreement Distributor hereby authorizes Broker and Agency to solicit applications for the sale of Contracts, provided that a Registration Statement under the 1933 Act and Investment Company Act is in effect relating to the Contracts, the related Accounts and interests in any Account relating to the Contracts, as appropriate, and provided further that Broker and Agency have been notified in writing by Distributor of the states and jurisdictions in which such Contracts and interests in any Account relating to the Contracts are qualified for sale. In connection with the solicitation of applications for the sale of Contracts, Broker and Agency are hereby authorized to offer any riders that are available under the Contracts in accordance with written instructions furnished by Distributor or the Company.
Solicitation of Applications. POS is authorized to solicit the Insurance Business only to the extent as mentioned in annexure A and strictly as per additional description and narration as may be advised by the Company from time to time.
Solicitation of Applications. Agent is authorized to solicit applications from Customers for membership into a HEALTH FIRST Product. Agent is only authorized to solicit and secure memberships in HEALTH FIRST’s Products at the membership rate and such other underwriting criteria currently in effect at the time of the last notification received by Agent from HEALTH FIRST.
Solicitation of Applications. We will inform you from time to time which products you are authorized to sell. Solicitation of applications for insurance authorized under this Agreement will be performed by you or by Assigned Producers in accordance with the terms of their agreements with us. An Assigned Producer is a person who has been designated by us to solicit applications for insurance under your direction.
Solicitation of Applications. 1. SBM hereby covenants and agrees that during the term of this contract and any renewal or extension thereof, or until any prior termination thereof (hereinafter referred to as the period of this contract), SBM Financial and persons designated by it shall have the exclusive right to solicit applications for, and to distribute any and all of the Investment Certificates, issued or to be issued by SBM during the period of this contract, including Certificate or series of Certificates hereinafter registered by SBM with the Securities and Exchange Commission.
