Sole Supplier. Distributor shall not obtain the Products for resale from any person or entity other than Zeltiq. Notwithstanding the longer duration of the Agreement, this exclusive purchase obligation applies for a maximum period of five (5) years from the Effective Date and is contingent upon the continued duration of the Agreement for such period of time. Distributor may not sell the Products to customers in another territory where Zeltiq has exclusively reserved such territory for itself or another distributor, Distributor shall be prevented from directly or indirectly (including through its affiliates), actively searching and filling orders for any of the Products in that other territory. However, Distributor shall not be prevented from accepting and filling unsolicited orders for the Products from a customer located outside the Territory.
Sole Supplier. Neither Licensee nor its Affiliates shall purchase, have manufactured, or otherwise acquire sestamibi from any third party during the term of this Agreement until Licensee sells its own generic sestamibi in the United States manufactured pursuant to an approved abbreviated new drug application owned by Licensee or one of its Affiliates (but not under an abbreviated new drug application of any third party). For the avoidance of doubt, the minimum purchase obligations described in Section 2.24 will remain applicable for the duration of this Agreement notwithstanding any such sale of its own generic Sestamibi by Licensee.

Distributor may not sell or distribute the Products to any person outside the Territory or outside the Sales Channel, or to any person who Distributor knows or could reasonably be expected to know intends to distribute or resell or otherwise supply Products to any person outside the Territory or outside the Sales Channel. Distributor shall not directly or indirectly (including through its affiliates), actively solicit or fill orders for any of the Products outside the Territory; provided, however, that Distributor may accept and fill unsolicited orders for the Products from a Customer located outside the Territory with prior written authorization from EnteroMedics.
Sole Supplier. Subject to the conditions and performance measures set forth herein, Lam agrees to purchase AutoEtch and DryTek parts and assxxxlies solely from Aspect Systems and solely for the support of Lam service contracts or service personnel.

Both InnerDyne and Sherwood understand, acknowledge and agree that the maintenance of an image of excellence and high level ethical marketing of the Kits is essential to the success of both parties. Both parties agree that their respective sales, marketing, distribution, or advertising will not knowingly reflect unfavorably on, or dilute in any way, the other party's image of excellence and high level ethical marketing. Both parties agree that they shall not do anything, directly or indirectly, to impair the current image or to lower the prestige or quality of the other party's products or the Kits. Sherwood shall not make any changes, alterations, modifications or additions to the InnerDyne Products without prior written approval of InnerDyne.
