Sole Rights. On the Effective Date, the holders of certificates formerly representing Bank Common Stock issued and outstanding on the Effective Date shall cease to have any rights with respect to such Bank Common Stock, and their sole rights on and following the Effective Date shall be with respect to Holding Company Common Stock into which their shares of Bank Common Stock shall have been converted as a result of the Reorganization.
Sole Rights. The severance rights provided in this Section 4.0 shall constitute the sole and only entitlement of Employee with respect to severance pay in the event of the termination, other than for cause. Employee expressly waives any and all other rights with respect to severance pay except as provided herein. Equipment Division shall instruct its authorized repair entities including DAS to refer all inquiries for Work in or originating from the Territory to Hawker.
B. Equipment Division shall not distribute or sell in any manner, directly or indirectly, piece parts or end-item spares for Equipment on aircraft operating only in the Territory. Equipment Division shall refer all inquiries for Equipment spares sales in or originating from the Territory to Hawker.
C. Equipment Division shall not appoint any other facility as an "approved" Equipment Division repair, overhaul, exchange and/or warranty facility located in or providing service to or Work on aircraft operated only in the Territory, nor consent or agree for any such facility to represent itself as "approved" by Equipment Division.
D. Notwithstanding the foregoing, nothing herein shall prevent Equipment Division from:
Sole Rights. In the course of a search, The Property Organiser will normally establish contact with a wide range of estate agencies, among other sources, so that the client does not have to do so independently. Once The Property Organiser has notified the Client of a property - including but not limited to spoken or written communication or a visit by the Client to the property - the Client undertakes that he/she will pursue an interest in the property in question solely through the Property Organiser. Any alternative pursuit of an interest in such a property, either by the client in person or through another agency at the client's instigation, will constitute a breach of this contract. In the event of such pursuit leading to a purchase by the Client, The Property Organiser will be entitled to ▇▇▇ the Client for the commission that would have been payable to The Company had it handled the purchase.

On the Effective Date, the Members who held any certificate or book entry that formerly represented membership interests in Coldchain outstanding on the Effective Date shall cease to have any rights with respect to said membership interests, and their sole rights shall have been ultimately converted by the Share Exchange.
