Sole Benefit of ITC, Imperial and UBOC. This Transition -------------------------------------- Agreement is for the sole and exclusive benefit of ITC, Imperial and UBOC and shall not be deemed to be for the direct or indirect benefit of any other person, including Customers. Neither Customers nor ITC Personnel shall be deemed to be third-party beneficiaries of this Transition Agreement.
