Software License Restrictions. To use the Cloud Service, You may be required to download and install Cisco software (“Software”). Cisco grants You a limited, non-exclusive, non-sublicensable and non-transferable license to use the Software solely as required to use the Cloud Service. The Software may contain code that is subject to its own license terms. You may not and may not allow a third party to modify, reverse engineer, decompile, or otherwise attempt to derive the source code for the Software, or create derivative works of the Software except as legally permitted for interoperability purposes.

Purchaser may not (and may not attempt to) defeat, avoid, by-pass, remove, deactivate or otherwise circumvent any protection mechanisms in the Software including without limitation any such mechanism used to restrict or control the functionality of the Software.

VAR shall distribute each copy of the NES System Software and NES System Provisioning Software pursuant to a written software license agreement between VAR and the Utility that incorporates the terms and conditions set forth on Exhibit F, which terms may be incorporated into the purchase agreement between VAR and such Utility for VAR’s Value-Added Utility Solution. VAR agrees to use its best efforts to enforce such terms and to inform ECHELON immediately of any known breach of such obligations. ECHELON may modify the terms of Exhibit F upon sixty (60) days written notice to VAR. After the end of such period, the NES System Software and the NES System Provisioning Software may be distributed only pursuant to the modified terms.
