Common use of SOFTWARE LICENSE GRANT Clause in Contracts

SOFTWARE LICENSE GRANT. Subject to the terms and conditions of this Agreement, CUSI grants to Licensee a non-exclusive, non- transferable, non-sublicensable internal business license to: (a) access and receive all benefits of the use of the Services subject to the compensation model specified in the Sales Agreement, which may include number of Service Locations and/or Named User Licenses specified in the Sales Agreements; and (b) copy and reproduce the Documentation provided to Licensee solely for the purposes of facilitating Licensee’s use of the Licensed Software and Services.

SOFTWARE LICENSE GRANT. Subject to the terms and conditions of this Agreement, CUSI grants to Licensee a non-exclusive, non- transferable, non-sublicensable internal business license to: (a) access and receive all benefits of the use of the CWP Services subject to the compensation model specified in the Sales Agreement, which may include a specified number of Service Locations and/or Named User Licenses specified in the Sales AgreementsEnd Users; and (b) copy and reproduce the Documentation provided to Licensee solely for the purposes of facilitating Licensee’s use of the Licensed Software CWP and CWP Services.

SOFTWARE LICENSE GRANT. Subject to the terms and conditions of this Agreement, CUSI grants to Licensee a perpetual, non-exclusive, non- transferable, non-sublicensable internal business transferable license to: (a) access install and receive all benefits of use the use of Licensed Software in executable form only on Licensee’s servers and workstations at the Services Site(s), only for Licensee’s internal business purposes, and subject to the compensation model specified in the Sales Agreement, which may include number of Service Locations and/or Named User and Client Access Licenses specified in the Sales AgreementsOrder; and (b) make one (1) copy and reproduce the Documentation provided to Licensee solely for the purposes of facilitating Licensee’s use of the Licensed Software solely for backup or archival purposes, and Services.one
