Any such information which is provided by Supplier shall only be used by the Buyer to achieve such interoperability, and for no other purpose, and \u201cinteroperability\u201d has the meaning within Section 50B of the Copyright Designs and Patents Act 1988.\n10.6 Notwithstanding any other provision in the Call-Off Contract to the contrary, any Subscription Software which is subject to click-wrap or click-on license terms and conditions, is subject to Open Source Software licences, or any other end user licence terms shall be subject to those terms.\n10.7 Where Subscription Software is subject to click-on or click wrap licence terms, the Buyer hereby authorises Supplier to accept such terms on its behalf and accepts responsibility in respect thereof.\n10.8 Certain Subscription Software will require the Buyer to input access codes and/or licence keys in order to obtain full access to it. If and to the extent that Supplier provides activation codes or license codes under the Call-Off Contract, the Buyer shall keep these confidential and shall not disclose these codes to third parties. and\n(c) deal in any other manner with any or all of its rights and obligations under the Contract, without the prior written consent of the Supplier.\n21.5 The Customer shall:\n(a) ensure that the Software is installed on designated equipment only;\n(b) keep a complete and accurate record of the Customer's copying and disclosure of the Software and its users, and produce such record to the Supplier on request from time to time;\n(c) notify the Supplier as soon as it becomes aware of any unauthorized use of the Software by any person;\n(d) pay, for broadening the scope of the licences granted under this licence to cover the unauthorised use (including additional Authorised Users), an amount equal to the fees which the Supplier would have levied (in accordance with its normal commercial terms then current) had it licensed any such unauthorised use on the date when such use commenced.\n21.6 The Customer shall permit the Supplier to inspect and have access to any premises (and to the computer equipment located there) at or on which the Software is being kept or used, and have access to any records kept in connection with this licence, for the purposes of ensuring that the Customer is complying with the terms of this licence, provided that the Supplier provides reasonable advance notice to the Customer of such inspections, which shall take place at reasonable times.\n21.7 The Supplier will provide the Customer with all Maintenance Releases generally made available to its Customers. The Customer shall install all Maintenance Releases as soon as reasonably practicable after receipt.\n21.8 The Customer warrants that it shall not compete with the Software product during the term of the Agreement and for a period of three (3) years thereafter.\n21.9 The Supplier shall procure any software or services from Third Party Suppliers required by the Customer for the provision of the Services and as more fully set out in the Statement of Work. Except as expressly set out in the relevant Licence Agreement, the Supplier expressly excludes any warranty to the Customer that the Third Party Services supplied or licensed under this Agreement will operate substantially in accordance with, and perform, the material functions and features as set out in the its marketing, sales or other associated documentations. The Customer shall remain liable for any and all payments owed to the Supplier throughout this Agreement and until the end of the respective licence terms for such Third Party Services (the \u201cLicence Fees\u201d).\n21.10 It is a condition of this Agreement that the Customer shall enter into such direct Licence Agreements issued by the Third Party Supplier where the Customer must directly contract with that Third Party Supplier as so prescribed by the relevant software owners of each Third Party Service identified within this Agreement and/or in the applicable Statement of Work. In the event the Customer does not accept the terms of such Licence Agreements (whether directly contracted with the Supplier or the relevant Third Party Supplier), the Supplier reserves the right to suspend the provision of the Services until such time as the Customer enters into such Licence Agreement.\n21.11 The Customer acknowledges that it is responsible for ensuring that the Customer\u2019s Hardware, and operating software for such Hardware is compatible with the Third Party Services and the Supplier gives no warranty in relation thereto unless agreed otherwise in writing between the Parties in the Statement of Work.\n21.12 The Customer shall indemnify the Supplier against all liabilities, costs, expenses, damages and losses (including any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest, penalties and legal and other reasonable professional costs and expenses) suffered or incurred by the Supplier in connection with any claim made against the Supplier for actual or alleged infringement by the Customer of the Customer Agreement, any Licence Agreement and/or any other licence agreement.
