Short-Form Registration; Shelf Registration. At any time after the Company becomes eligible to file a Registration Statement on Form S-3 (or any successor form relating to secondary offerings), one or more Holders (other than an Excluded Holder) may, with the prior written approval of the Required Holders and by written notice to the Company, request that the Company effect the registration on Form S-3 (or any successor form) of Registrable Securities having an anticipated net aggregate offering price of at least $25,000,000. Any short-form registration pursuant to this Section 2.2 may be, at the request of the Holders requesting such registration, a shelf registration pursuant to Rule 415 under the Securities Act.
