SHOP RIGHTS. The Company shall also have the royalty-free right to use in its business, and to make, use and sell products, processes and/or services derived from any inventions, discoveries, concepts and ideas, whether or not patentable, including but not limited to processes, methods, formulas and techniques, as well as improvements thereof or know-how related thereto, which are not within the scope of Inventions as defined in Section 16 but which are conceived or made by the Executive during the period he or she is engaged by the Company or with the use or assistance of the Company's facilities, materials or personnel.
SHOP RIGHTS. The Company shall also have a perpetual, royalty-free, non-exclusive right to use in its business, and to make, use, license and sell products, processes and/or services derived from any inventions, discoveries, designs, improvements, concepts, ideas, works of authorship, whether or not patentable, including processes, methods, formulae, techniques or know-how related thereto, that are not within the scope of “Inventions” as defined above, but which are conceived or made by Executive during regular working hours or with the Company’s facilities, equipment, personnel, supplies or trade secret information.
SHOP RIGHTS. Notwithstanding any provision herein that may create greater rights, Employee acknowledges that the Company shall have the royalty-free right to use in its business, and to make, have made, use, sell, offer for sale or import products, processes and services derived from or related to any Intellectual Property or Work Product that are made or conceived by the Employee during his or her employment by the Company or with the use or assistance of the Company’s facilities or funded, at least in part, with Company funds.
SHOP RIGHTS. Unless waived by the Board, NU-MED shall also have the royalty-free right to use in its business, and to make, use and sell products, processes and/or services derived from any inventions, discoveries, concepts and ideas, whether or not patentable, including but not limited to processes, methods, formulas and techniques, as well as improvements thereof or know-how related thereto, which are not within the scope of Inventions as defined above but which are conceived of or made by Consultant during the period he is engaged by NU-MED or with the use or assistance of NU-MED's facilities, materials, or personnel.
SHOP RIGHTS. The Company shall also have the royalty-free right to use in its business, and to make, use, and sell products, processes, and/or services derived from any inventions, discoveries, concepts, and ideas, whether or not patentable, including, but not limited to, processes, methods, formulas, and techniques, as well as improvements thereof or know-how related thereto, concerning any past, present, or prospective activities of the Company, which are not within the scope of Inventions as defined in Section 11 hereof, but which are conceived or made by the Executive during the period that the Executive is engaged by the Company with the use or assistance of the Company's facilities, materials, or personnel.
SHOP RIGHTS. You understand and agree that UC will retain a shop right and a fully paid-up, royalty-free license to do any one or more of the following activities:
SHOP RIGHTS. The Company shall also have the royalty-free right to use in its business, and to make, use and sell products, processes and/or services derived from any inventions, discoveries, concepts and ideas, whether or not patentable, including but not limited to processes, methods, formulas and techniques, as well as improvements thereof or know-how related thereto, which are conceived of or made by Prudential during the period it is engaged by the Company or with the use or assistance of the Company's facilities, materials, or personnel.
SHOP RIGHTS. Assignee shall also have the royalty free right to use in its business and to make, use, and sell produces, processes and or services derived from any inventions discoveries concepts and ideas whether or not patentable including processes methods formulas and techniques as well as improvements thereof or know how related thereto which are not within the scope of the Inventions but which are conceived or made by the Assignor with the use or assistance of the Assignee’s facilities, materials, or personnel.
SHOP RIGHTS. If you use, embed, or otherwise bring IP that you have created or in which you have any right, title, or interest into the Company in such a way that the Company or any of the Company’s customers may be liable for infringement of that IP, you hereby grant a worldwide, fully-paid-up irrevocable license to the Company and the Company’s customers for such use.
SHOP RIGHTS. GDS-Global Dynamic Services LLC has a perpetual, royalty-free, non-exclusive right to use, make, license, and sell products, processes, and services derived from any Intellectual Property, discoveries, designs, improvements, concepts, ideas, works of authorship—whether patentable or not—including processes, methods, formulae, and related techniques or know-how that are not within the scope of Intellectual Property as defined above, but that are conceived or made by Contractor during regular working hours or with the use of GDS-Global Dynamic Services LLC’s facilities, materials, or personnel.
