Shipment and packaging. Each shipment of Product will be made according to the relevant SOP's applicable at UCB in Braine-l'Alleud (Belgium) and any particular requirement TMC might have and previously approved by UCB. Delivery shall occur EX WORKS Braine-l'Alleud (ICC Incoterms 1990).

(c) Xxxx will ship Products in a manner so as to meet the delivery date specified in the Binding Purchase Order (or, if no such date is specified, in a reasonably prompt and timely manner from the date the Binding Purchase Order becomes effective). City of Hope, City of Hope National Medical Center and/or Xxxxxxx Research Institution of the City of Hope, 0000 Xxxx Xxxxxx Xxxx, Duarte, California 91010, unless otherwise indicated on the Purchase Order. Vendor will arrange transportation to Purchaser at the address specified on the Purchase Order by common carrier at the lowest available commercial shipping rate, unless otherwise indicated on the Purchase Order. Any documents necessary to enable Purchaser to obtain the Goods from a carrier must be delivered to Purchaser at least three (3) days prior to delivery of the Goods. All Goods must be properly packaged and each package must be properly marked and Purchaser’s purchase order number must be shown on all package labels. All expenses for package are to be borne by Vendor and expenses of transportation are to be prepaid by Vendor.

All materials and tools covered by this order shall be suitably packaged or otherwise prepared for shipment so as to secure the lowest transportation rates and to meet the carrier’s requirements. No charges will be allowed for packaging or crating unless stated in this order. Each container must be clearly marked to show quantity, contents, Supplier’s name, and the number of this Order. Packaging must meet or exceed ASTM standards. Any loss or damage, whenever occurring, which results from Supplier’s improper packaging or crating shall be borne by Supplier. Supplier accepts full responsibility for the completeness and accuracy of all transport and customs documentation (“Shipping Documents”) provided to Buyer. Supplier accepts any liabilities resulting from incomplete or inaccurate data on Shipping Documents or failure to comply with any import or export requirements.
Shipment and packaging. Unless otherwise agreed to in writing by the parties, all prices and shipments will be F.O.B., Delivery Location. Seller shall be solely responsible for and pay, all costs of delivering the Goods to the Delivery Location, including without limitation, all shipping and freight costs and all duties, fees, tariffs or similar analogous taxes on import/export of the Goods, as well as boxing, packing or returnable containers, unless stated in the Order. Seller shall not substitute material or ship more than the quantity ordered. Title and risk of loss shall not pass to Buyer until the delivery of Goods to the Delivery Location. If Buyer rightfully rejects the Goods, receives a nonconforming tender or revokes acceptance, risk of loss shall be deemed to have remained with Seller. All shipments must be packed in a manner suitable for protection in shipment and storage. The responsibility for freight damaged Goods will be assumed by Seller. No charges for unauthorized transportation will be allowed. Any unauthorized shipment, which will result in excess transportation charges must be fully prepaid by Seller.
Shipment and packaging. 3.1 The mode of shipment of the Computer Hardware shall be selected by Seller and the cost of such shipment shall be added to the purchase price set forth in Schedule A.
