Ship & Debit. In the event that MaxLinear decreases the unit price of any Products for Tomen’s certain customers (“Discount Unit Price”) but MaxLinear does not decrease Standard Unit Price, Tomen shall be entitled to credit the amount which is equivalent to difference between (a) Standard Unit Price and (b) Discount Unit Price multiplied by the quantity of the Products shipped to certain Customer.
