Common use of Shares Listed Clause in Contracts

Shares Listed. Nortel shall use its reasonable best efforts to list, prior to the Effective Date, on the NYSE and the Canadian Stock Exchanges, subject to official notice of issuance, the Nortel Common Shares to be issued to the holders of Company Common Stock in the Merger and upon exercise of Company Stock Options to be assumed by Nortel by reason of the Merger.
