Common use of Shareholdings Clause in Contracts

Shareholdings. there is any change in the legal and/or beneficial ownership of any of the shares in any of the Borrowers from that existing on the date of this Agreement as set out in clause 7.1.10 without the prior written consent of the Agent (acting on the instructions of the Majority Lenders) or there is any change in the management or board of directors of the Sponsor from that existing on the date of this Agreement; or

Shareholdings. (a) there is any change in the legal and/or ultimate beneficial ownership of any of the shares in any of the Borrowers or the Manager from that existing on the date of this Agreement as set out in clause 7.1.10 7.1.10; or (b) a Change of Control occurs without the prior written consent of the Agent (acting on the instructions of the Majority Lenders) or there is any change in the management or board of directors of the Sponsor from that existing on the date of this AgreementAgent; or

Shareholdings. there is change, cause or permit any change in in, the legal and/or ultimate beneficial ownership of any of the shares in any of the Borrowers or the Corporate Guarantor or the Manager from that existing on the date of this Agreement as set out specified in clause 7.1.10 without the prior written consent of the Agent (acting on the instructions of the Majority Lenders) or there is any change in the management or board of directors of the Sponsor from that existing on the date of this Agreement; or7.1.10;

Shareholdings. there is change, cause or permit any change in in, the legal and/or ultimate beneficial ownership of any of the shares in any of the Borrowers or the Corporate Guarantor or any of the Collateral Guarantors or the Manager from that existing on the date of this Agreement as set out specified in clause 7.1.10 without the prior written consent of the Agent (acting on the instructions of the Majority Lenders) or there is any change in the management or board of directors of the Sponsor from that existing on the date of this Agreement; or7.1.10;

Shareholdings. (a) there is any change in the legal and/or ultimate beneficial ownership of any of the shares in any of the Borrowers or any of the Collateral Guarantors or the Manager from that existing on the date of this Agreement as set out in clause 7.1.10 7.1.10; or (b) a Change of Control occurs without the prior written consent of the Agent (acting on the instructions of the Majority Lenders) or there is any change in the management or board of directors of the Sponsor from that existing on the date of this AgreementAgent; or

Shareholdings. (a) there is any change in the legal and/or ultimate beneficial ownership of any of the shares in either of the Borrowers or any of the Borrowers Collateral Guarantors or the Manager from that existing on the date of this Agreement as set out in clause 7.1.10 7.1.10; or (b) a Change of Control occurs without the prior written consent of the Agent (acting on the instructions of the Majority Lenders) or there is any change in the management or board of directors of the Sponsor from that existing on the date of this AgreementAgent; or

Shareholdings. there is change, cause or permit any change in in, the legal and/or ultimate beneficial ownership (direct or indirect) of any of the shares in any of the Borrowers Manager, from that existing on the date of this Agreement as set out specified in clause 7.1.10 without the prior written consent of the Agent (acting on the instructions of the Majority Lenders) or there is any change in the management or board of directors of the Sponsor from that existing on the date of this Agreement; or7.1.10;

Shareholdings. there is change, cause or permit any change in in, the legal and/or ultimate beneficial ownership (direct or indirect) of any of the shares in any of the Borrowers Manager from that existing on the date of this Agreement as set out specified in clause 7.1.10 without the prior written consent of the Agent (acting on the instructions of the Majority Lenders) or there is any change in the management or board of directors of the Sponsor from that existing on the date of this Agreement; or7.2.13.

Shareholdings. there is any change in the legal and/or ultimate beneficial ownership of any of the shares in any of the Borrowers or the Manager or the Corporate Guarantor from that existing on the date of this Agreement as set out specified in clause 7.1.10 without the prior written consent of the Agent (acting on the instructions of the Majority Lenders) or there is any change in the management or board of directors of the Sponsor from that existing on the date of this Agreement7.1.10; or

Shareholdings. there is change, cause or permit any change in the legal and/or ultimate beneficial ownership of any of the shares in any of Borrowers or the Borrowers Corporate Guarantor or the Manager from that existing on the date of this Agreement as set out specified in clause 7.1.10 without the prior written consent of the Agent (acting on the instructions of the Majority Lenders) or there is any change in the management or board of directors of the Sponsor from that existing on the date of this Agreement; or7.1.10.

Shareholdings. (a) there is any change in the legal and/or ultimate beneficial ownership of any of the shares in any either of the Borrowers or the Manager from that existing on the date of this Agreement as set out in clause 7.1.10 7.1.10; or (b) a Change of Control occurs without the prior written consent of the Agent (acting on the instructions of the Majority Lenders) or there is any change in the management or board of directors of the Sponsor from that existing on the date of this AgreementAgent; or

Shareholdings. there is any change in the legal and/or ultimate beneficial ownership of any of the shares in of any of the Borrowers or the Manager or the Corporate Guarantor from that existing on the date of this Agreement as set out specified in clause 7.1.10 without the prior written consent of the Agent (acting on the instructions of the Majority Lenders) or there is save for any change in the management or board of directors respect of the Sponsor from that existing on shares in the date Corporate Guarantor following the Offering Date which is not prohibited by the terms of this Agreementclause 8.3.14; or

Shareholdings. there is any change in the legal and/or ultimate beneficial ownership of any of the shares in of any of the Borrowers Borrowers, the Corporate Guarantor or the Manager from that existing on the date of this Agreement as set out specified in clause 7.1.10 without the prior written consent of the Agent (acting on the instructions of the Majority Lenders) or there is any change in the management or board of directors of the Sponsor from that existing on the date of this Agreement7.1.11; or
