SETTLEMENT AND WAIVER. 6.1 The purpose of this Agreement is to settle fully and finally any of the Claims the Employee may have whatsoever against the Company or any Associated Companies (or any of their respective officers, directors or shareholders) arising from his employment or termination of employment with the Company or any Associated Companies, it not being admitted by the Company (either for itself or any Associated Company) that he has any such Claim.
SETTLEMENT AND WAIVER. 10.1. The Executive accepts the sums and benefits to be provided to him under the above Clauses of this Agreement in full and final settlement of all claims and rights of action (whether under statute, common law or otherwise) in any jurisdiction in the world (including but not limited to a claim for breach of contract, unfair dismissal, wrongful dismissal or any other claim which could be brought in the English Courts or Industrial Tribunals pursuant to common law or the Employment Rights Xxx 0000, the Sex Discrimination Xxx 0000, the Equal Pay Xxx 0000, Article 119 of the Treaty of Rome, the Race Relations Xxx 0000 and the Disability Discrimination Act 1995) which the Executive has or may have against the Company or any Associated Company, its or their officers or employees or shareholders, arising from or connected with the Executive's employment or holding of any office with the Company or any Associated Company, the termination thereof, or any other matter concerning the Company or any Associated Company PROVIDED ALWAYS that this Clause 10 shall not apply to or detract from any Company pension rights or pension benefits which have accrued to the Executive up to the Termination Date. The Executive hereby agrees that, except for the sums and benefits referred to in this Agreement, no other sums or benefits are due to him from the Company or any Associated Company.
SETTLEMENT AND WAIVER. 9.1 The Executive believes he may have statutory claims, and therefore could bring proceedings, against the Company, or any Associated Company, or its or their employees, officers or shareholders, for unfair dismissal in relation to the termination of his employment with the Company and any Associated Company.
SETTLEMENT AND WAIVER. 18. You accept the sums and benefits to be given to You under this Agreement in full and final settlement of the Employment Protection Claims and all other claims and rights of action whatsoever (whether under common law, contract, statute or pursuant to European Community law or otherwise) in any jurisdiction in the world including but not limited to under Belgian or English laws, that You have or may have against the Company or any Associated Company, or their respective officers or employees, arising out of or in connection with your employment or holding of any office with the Company or any Associated Company or its termination. This waiver does not apply to any claim in respect of any accrued pension rights or any personal injury claim by You regarding a condition which develops for the first time after the date of this Agreement provided no symptoms of such condition have manifested themselves on or before the date of this Agreement. Further, You warrant and confirm that, as at the date of this Agreement, You are unaware of any facts, matters or circumstances which could give rise to any claim in respect of any accrued pension rights or any personal injury claim.
SETTLEMENT AND WAIVER. 6.1 The purpose of this Agreement is to settle fully and finally any claims (save in relation to any claims for personal injury and accrued pension rights) the Employee may have whatsoever arising from his employment or period of employment with the Company or any Associated Company including without limitation any claim within clause 6.3 below, it not being admitted by the Company (either for itself or any Associated Company) that he has any such claim.
SETTLEMENT AND WAIVER. 5.1. The parties acknowledge that as a consequence of the circumstances leading up to the termination of the Employee’s employment, in a letter from the Qualified Lawyer to the Company, dated 19 December 2018, the Employee alleged that he could potentially be entitled to claim constructive and/or unfair dismissal pursuant to section 111 of the Employment Rights Xxx 0000. However, the Company denies all liability in connection with the same.
SETTLEMENT AND WAIVER. 5.1 The Employee believes he may have contractual and statutory claims arising from his employment and its termination on the Termination Date including but not limited to the following;
SETTLEMENT AND WAIVER. 4.1 Subject to a) the assignment of the Assigned Patents to Nokia in accordance with the section 3 above, and b) payment of the royalties in accordance with the section 2 above, Nokia will waive any claims related to royalties under PPA..
SETTLEMENT AND WAIVER. The parties to this Contract: (i) waive all the rights and actions that oppose the content of this Contract on any claim derived from Telmex’s Escisión or acts or situations that occurred prior to Telmex’s Escisión, and therefore consider those rights or actions extinguished and remit to the other party its obligations with the exception of what is contemplated herein, and, (ii) they bind themselves to not try in the future to file a dispute over any of those rights and responsibilities and (iii) agree that beyond the obligations contained in this Contract, neither Telmex nor Telmex Internacional, will have claims against each other due to economic obligations, including damages, indirect damages, expenses or legal expenses, and they mutually grant each other therefore, the broadest settlement permitted by law and do not make any reservations thereof for any legal action claim. CHAPTER IV OTHER ACTS AND AGREEMENTS
SETTLEMENT AND WAIVER. Notwithstanding the foregoing provisions of this Clause 9.4, if at any time a Tax Indemnitee waives its right of indemnification under this Clause 9 in respect of a Claim or if, after having received payment of indemnification from Lessee hereunder in respect of such Claim, a Tax Indemnitee tenders such payment to Lessee, then the Lessee shall not be entitled to contest, or to continue to contest, any such Claim.
