Services Performed by Third Parties. Nothing in this Agreement will prevent the Provider from using its Affiliates or third parties to perform all or any part of a Service hereunder. The Provider will remain fully responsible for the performance of its obligations under this Agreement in accordance with its terms, including any obligations it performs through its Affiliates or third parties, and the Provider will be solely responsible for payments due any such Affiliates or third parties.
Services Performed by Third Parties. At its option, ICN may cause any Service it is required to provide hereunder to be provided by any third party that is providing, or may from time to time provide, the same or similar services for ICN (an "Outsourced Service"). ICN shall remain responsible, in accordance with the terms of this Agreement, for performance of any Service it causes to be so provided.
Services Performed by Third Parties. At its option, the Service Provider may cause any Service it is required to provide hereunder to be provided by any third-party that is providing, or may from time to time provide, the same or similar services for Service Provider (an "OUTSOURCED SERVICE"). The Service Provider shall remain responsible, in accordance with the terms of this Agreement, for performance of any Service it causes to be so provided; provided, however, that Service Providers and Service Recipients may, by mutual agreement, seek to effectuate the partial assignment to Service Recipients of any third-party contracts with Service Providers for Outsourced Services; and provided further, that Service Recipients of Outsourced Services may seek to enter into new contracts for, or otherwise obtain from alternate sources, the Outsourced Services.
Services Performed by Third Parties. With the consent of the Purchaser (such consent not to be unreasonably withheld), the Seller Parent may cause any Service it is required to provide hereunder to be provided by any third party that is providing, or may from time to time provide, the same or similar services for the Seller Parent (an "Outsourced Service"). The Seller Parent shall remain responsible, in accordance with the terms of this Agreement, for the performance of any Service it causes to be provided pursuant to this Section 2.2.

Provider shall remain responsible, in accordance with the terms of this Agreement, for the performance of any Service it causes to be provided pursuant to this Section 2.3.
Services Performed by Third Parties. At its option, Tubos may cause any Service it is required to provide hereunder to be provided by any third party that is providing, or may from time to time provide, the same or similar services for Tubos (an “Outsourced Service”). Tubos shall remain responsible, in accordance with the terms of this Agreement, for the performance of any Service it causes to be provided pursuant to this Section 2.3.
Services Performed by Third Parties. At its sole option, Medarex shall have the right to cause any Service it provides hereunder to be provided by any third party that is in the business of providing such services (an "Outsourced Service"); provided, that (a) Medarex gives Celldex thirty (30) days' prior written notice of its intention to outsource a Service, including all material details pertaining to such outsourcing, such as the name of the proposed provider and any cost differences; (b) Celldex shall have the right upon written notice to Medarex given within twenty (20) days following Celldex's receipt of the notice referred to in (a) above, to terminate, without penalty or delay, such Service proposed to be outsourced, together with the related Service Provision Form relating to such Service; (c) the costs for an Outsourced Service, if outsourced during the term of any executed Service Provision Form, shall not exceed the costs agreed in such Service Provision Form; and (d) Medarex shall remain responsible for performance, in accordance with the terms of this Agreement, of any Outsourced Service, including compliance with any such provider with the provisions of Section 5.1 (Confidentiality).
Services Performed by Third Parties. At its option, Cabot may cause any Service it is required to provide hereunder to be provided by any third party that is providing, or may from time to time provide, the same or similar services for Cabot (an "Outsourced Service"). Cabot shall remain responsible, in accordance with the terms of this Agreement, for performance of any Service it causes to be so provided.
Services Performed by Third Parties. A new Section 3.11 shall be added to the Agreement as follows:

AAI shall be prohibited from subcontracting out any of the services to be provided by AAI hereunder; provided, however, that AAI may subcontract out such services to third parties upon receipt of USB's prior written consent and that the results of such services are available for inspection by USB."
