Service Provider Audits. (A) Service Provider will (1) promptly notify Xxxx if the results of any independent audit or other report of Service Provider's or any Service Provider Agent's operations relating to the Services, except to the extent that any such report deals with Service Provider's costing structures (in which event information about Service Provider's cost structure will be redacted), indicate (or Service Provider otherwise becomes aware) that any failure by Service Provider to comply with its obligations under this Agreement (i) has impacted or reasonably could impact the maintenance of Dana's financial integrity or internal controls, the accuracy of Dana's financial, accounting or human resource records and reports; or (ii) has had, or reasonably could have, any other material adverse impact on the applicable Services or the impacted business operations of Xxxx and (2) promptly take corrective action to rectify (a) any error identified in any such report that could reasonably be expected to have an adverse impact on the Services and (b) any control deficiencies identified in the report. *** indicates where a confidential portion has been omitted and filed separately with the Commission

Service Provider Audits. Service Provider, at its cost, will cause a SOC 1, Type 2 report under SSAE 18 or a SOC 2, Type 2 report under Attestation Standards Section 101 (an “Audit Report”) to be performed annually by an independent auditor for each Service Delivery Center used to process or store Customer Data. Each such audit must result in an unqualified opinion by the auditor regarding the design and operating effectiveness of Service Provider’s internal controls. The Audit Report must address trust service principles and control criteria in the areas of security, availability, processing integrity, confidentiality and privacy. The Audit Report shall include Service Provider management’s assertions on the state of controls and the auditor’s opinion confirming management’s assertions. Service Provider shall deliver a copy of such report to JEA within thirty (30) days after the completion thereof. Service Provider will promptly remedy any adverse finding or vulnerabilities identified in such Audit Report.
Service Provider Audits. Supplier shall use commercially reasonable efforts to ensure that its Service Providers are bound, under their agreements with Supplier, to allow Company to conduct audits of such Service Provider consistent with those permitted with respect to Supplier under this Section 6, and to remediate any material deficiencies and non-compliance discovered as a result of any such audits.

Any actions undertaken by any such Service Provider in relation to Your Applications or use of the Apple Software or Apple Services and/or arising out of this Agreement shall be deemed to have been taken by You, and You (in addition to the Service Provider) shall be responsible to Apple for all such actions (or any inactions). In the event of any actions or inactions by the Service Provider that would constitute a violation of this Agreement or otherwise cause any harm, Apple reserves the right to require You to cease using such Service Provider.
