SERVICE PRE-REQUISITES. The Supplier shall be responsible for obtaining all licences, authorisations, consents or permits required in relation to the performance of this Framework Agreement and any Contract.

8.2 The Provider shall ensure at all times that its employees engaged in the performance of the Services have been verified by it to work in the UK including (in the case of foreign nationals) an appropriately endorsed passport or other confirmed immigration status (including a share code issued by the Home Office) permitting their right to work in the UK and understands that any failure in this regard shall be regarded as a Material Breach.

8.2 As at the date of this Agreement the Authority and the Service Provider do not envisage that a relevant transfer under the Transfer of Undertakings (Protection of Employment) Regulations 2006 (SI 2006/246) shall apply in relation to the provision of the Services under any Contract. However, where a relevant transfer applies then the terms of Schedule 8 of the relevant Contract shall apply.

SERVICE PRE-REQUISITES. 1.1. The use of the Services requires one or more compatible Devices, software’s and Internet access/connectivity (third-party fees may apply), and certain software (third-party fees may apply), and may require you to upkeep updates or upgrades from time to time. Since use of the Services involves hardware, software and Internet access, the Licensee’s ability to access and use the Services may be affected by the performance of these external factors. The Licensee acknowledges and agrees that such system requirements and prerequisites, which may change from time to time, are the Licensee’s/ end users’ sole responsibility.

8.2 Before the Supplier enters into a Contract with any Customer, the Supplier shall:
(a) provide the Authority with unrestricted access to a demonstration site and/or demonstration software free of charge in accordance with Schedule 1;
(b) enter into the Licence Agreement with the Authority for the licence for the demonstration site/and or demonstration software;
(c) provide all relevant Training to the Authority on the use of the relevant software and/or demonstration site free of charge in accordance with Schedule 1; and
(d) confirm in writing that the Authority is an Approved Support Provider.
