Service Agency. Prime Contractor hereby appoints Subcontractor as its primary service subcontractor within Subcontractor Serviceable Areas, as defined in Appendix B, for the maintenance of the equipment listed in Appendix "A" hereto, (collectively and/or individually designated as "Equipment"). Subcontractor will provide the services defined in the Statements of Work attached hereto for Prime Contractor's End User(s) (the "End User(s)").

Service Agency. 2.1 The Principal appoints the Service Agent as its agent and the Service Agent agrees to act as agent for the Principal to carry out the Services (as set out under Clause 2.2 below) from the date of this Service Agency Agreement until the earlier of the (i) Scheduled Maturity Date; or (ii) the date on which the ownership of the Assets ceases to be with the Principal in (the Agency Period). 2.2 During the Agency Period, the Service Agent irrevocably and unconditionally undertakes to Principal that it shall provide the following Services under the provisions of the Service Agency Agreement: 2.2.1 it shall service the Assets in accordance with the relevant transaction documents applicable to the Assets; 2.2.2 it shall discharge or procure the discharge of all obligations to be discharged by the Principal (in whatever capacity) in respect of any of the Assets under all asset contracts, it being acknowledged that the Service Agent may appoint one or more agents to discharge these obligations on its behalf; 2.2.3 Income Payment Date under this Agreement shall coincide with the profit distribution frequency of the underlying Assets, where applicable, and the Service Agent shall use all reasonable endeavours to ensure the timely receipt of revenues from the Assets, as and when the same shall become due; 2.2.4 The Service Agent, shall immediately transfer the income upon receipt of the same from relevant issuer of such underlying Asset and will not be required to make any payments from its own funds; 2.2.5 On each Income Payment Date, if required, the Service Agent may pay an amount equal to Income Payment or a part thereof to the Principal on on- account basis.
