Separate, divisible agreement Clause Samples

A "separate, divisible agreement" clause establishes that the contract is composed of distinct parts or obligations, each of which can be enforced independently. In practice, this means that if one section or obligation of the contract is found to be invalid, unenforceable, or breached, the remaining sections continue to be valid and binding. For example, if a contract covers both the sale of goods and the provision of services, and the service portion is voided, the sale of goods portion may still stand. This clause's core function is to protect the integrity of the overall agreement by ensuring that issues affecting one part do not automatically invalidate the entire contract.
