Separate Capacities. The Parties acknowledge that LADWP, as Agent under and a Party to this Agency Agreement, acts in a legal capacity that is separate from its capacity as the Purchaser under the Power Sales Agreement. Accordingly, for purposes of this Agency Agreement, the rights, entitlements, obligations and liabilities of LADWP, as Agent and a Party to this Agency Agreement, shall not apply to or otherwise be affected by, and shall be legally separate from the rights, entitlements, obligations, and liabilities of LADWP as the Purchaser under the Power Sales Agreement.
Separate Capacities. The Parties acknowledge that any agent of SCPPA acting as Project Manager acts in a legal capacity that is separate from its capacity as a Purchaser, SCPPA Participating Member and a Party under this Agreement. Accordingly, for purposes of this Agreement, the rights, entitlements, obligations and liabilities of agent, as Purchaser, SCPPA Participating Member and a Party under this Agreement, shall not apply to or otherwise be affected by, and shall be legally separate from the rights, entitlements, obligations, and liabilities of agent in its capacity as Project Manager under ant agency agreement.
Separate Capacities. Notwithstanding that the Facility Agent and the Security Agent may from time to time be the same entity, the Facility Agent and Security Agent have entered into this Deed in their separate capacities. Provided that where this Deed provides for the Facility Agent to communicate with or provide instructions to the Security Agent, while the Facility Agent and the Security Agent are the same entity, it will not be necessary for there to be any such formal communication or instructions notwithstanding that this Deed provides in certain cases for the same to be in writing.
Separate Capacities. If a person is a party or a Noteholder in more than one capacity of trustee, responsibility entity, agent, custodian or nominee, the person will for the purposes of this agreement be treated as a separate person in respect of each such capacity.

Accordingly, for purposes of this Agreement, the rights, entitlements, obligations and liabilities of LADWP, as Purchaser, Project Participant and a Party under this Agreement, shall not apply to or otherwise be affected by, and shall be legally separate from the rights, entitlements, obligations, and liabilities of LADWP in its capacity as Project Manager.

Notwithstanding that the Facility Agent, the 2004 Facility Agent and the Security Agent may from time to time be the same entity, the Facility Agent, the 2004 Facility Agent and Security Agent have entered into this Deed in their separate capacities. Accordingly, for purposes of this Agreement, the rights, entitlements, obligations and liabilities of LADWP, as Purchaser and a Party under this Agreement, shall not apply to or otherwise be affected by, and shall be legally separate from the rights, entitlements, obligations, and liabilities of LADWP in its capacity as Project Manager under the Agency Agreement.
