Senior Management Team. Concurrently with, and as a condition to the execution and delivery of this Agreement, CWI 2 has entered into an employment agreement (the “Medzigian Employment Agreement”) with Xxxxxxx X. Xxxxxxxxx (“Xxxxxxxxx”), pursuant to which Medzigian shall serve from and after the REIT Merger Effective Time (as defined in the Merger Agreement) as Chief Executive Officer of CWI 2 or an applicable Affiliate in accordance with the terms of such employment agreement (the “Medzigian Employment Agreement”). Prior to the REIT Merger Effective Time, CWI 2 shall use its commercially reasonable efforts to adopt employment terms (for services to be provided from and after the REIT Merger Effective Time) with certain other individuals selected by the board of directors of CWI 2 with respect to each of the roles within the senior management team of CWI 2 as detailed on Exhibit A in each case to the extent such individuals are identified in the definitive Joint Proxy Statement (as defined in the Merger Agreement) (the “Additional Employment Agreements”).

Senior Management Team. In connection with the Closing of the transactions contemplated by this Agreement, GSRP shall make offers of employment to (a) Xxx Xxxxx (“Xxxxx”), pursuant to which Xxxxx shall serve from and after the Closing as President and Chief Executive Officer of GSRP, and (b) Xxxxx Xxxxxxxxx (“Xxxxxxxxx”), pursuant to which Xxxxxxxxx shall serve from and after the Closing as Chief Operating Officer of GSRP.
Senior Management Team. The Senior Management Team will provide a formal response regarding the recommendations from JCC within thirty (30) days. The response will include reasons for such decision and be forwarded to all staff and the Joint Consultation Committee.
Senior Management Team. The Management Company shall nominate individuals to serve as the senior management team of the Owner who shall supervise the provision of Services hereunder. Upon approval of the Owner, such individuals shall comprise the “Senior Management Team” of the Owner. The Owner may but shall not be obligated to, appoint any member of the Senior Management Team to be officers of the Owner. The Owner may instruct the Management Company to remove or replace any member of the Senior Management Team at any time upon consultation with the Management Company. The Management Company may remove any member of the Senior Management Team upon consultation with the Owner; provided, that if the Management Company removes a member of the Senior Management Team, then the Management Company shall nominate promptly a replacement with substantially similar or greater experience as such removed member of the Senior Management Team. If there is a vacancy in any position on the Senior Management Team, the Management Company shall nominate an individual to fill such vacancy, and subject to the approval by the Owner, such individual shall become a member of the Senior Management Team. Schedule 2.8 lists the positions of the Senior Management Team and the names of the individuals on the initial Senior Management Team holding each such position.

Senior Management Team. All secondary schools, and larger primary schools have a management team consisting of the head teacher and his/her depute head teachers. In all schools the SMT should be functioning collectively as a management team responsible for the overall direction of policy and its implementation. It should meet regularly, conduct its business in accordance with a clear agenda and its decisions should be recorded in organised minutes which should be widely circulated. In some schools an attempt has been made to broaden the base of certain meetings of the senior management team by involving other members of staff. In a number of primary schools, principal teachers have been incorporated into extended management teams. A system of extended meetings may offer a useful forum for consultation as well as providing a form of management training.
Senior Management Team. Throughout the term of the New Agreement, you will be considered a part of the Senior Management Team, as the term currently is used in practice. This does not mean that all benefits will be equal with other members of the Senior Management Team. Your benefits will be determined as set forth in this New Agreement. It is anticipated that, after you vacate your National Technical Systems, Inc. Board position at the June, 2006, Shareholders meeting, you no longer will be considered an “executive officer” of National Technical Systems, Inc. for purposes of SEC rules.

Senior Management Team. FSI’s senior management team comprises the DG, the five Directors and nineteen Team Managers. Some Team Managers have responsibility for operational and team management of forensic disciplines. FSI’s Team Managers also include a Quality Manager, a Customer Liaison Manager, a Health & Safety Manager, an Information Systems Manager, and an Operations Support Manager. The responsibilities of the senior management team include: • Setting targets and standards for FSI; • Identifying and seeking the resources necessary to achieve these targets and standards; • Maintaining the quality of laboratory services and ensuring that the requirements of international standards for laboratories are met. The detailed roles and responsibilities of senior managers are set out in FSI’s Quality Manual.
Senior Management Team. Attached to this Agreement as Exhibit B is a listing of the ages and job titles of those individuals employed by BASi in senior management who were and were not selected for termination and the offer of consideration for signing a waiver such as those contained in this Agreement.

SMT Responsibilities: • Act as the senior policy agent of the represented organization • Attend periodic briefings from the ISM Organization • Obtain regular feedback from Development and I&M Committee members • Communicate concerns and issues to the ISM Organization and/or DOE for resolution • Participate in the dispute resolution process (See Section 4.7, Site Wide Standards Dispute Resolution Process, and Appendix D-4.7) • Review, collect, and submit comments on the draft document(s) to the ISM Organization • Review final document • Engage their company’s organizations affected by the proposed or revised standard to ensure that their input and concerns are articulated to the committee and the DOE during document reviews, comment resolution, and implementation phases. • Engage their company’s contracting officers and legal counsel during reviews of documents • Recommend and approve milestones and schedules for integrated implementation of approved standards • Ensure that their organization performs annual assessments of each implemented standard to determine effectiveness; once effectiveness is established, the assessment frequency will be reevaluated • Provide oversight for the Development, Implementation, and Maintenance Phases
