Seller’s Cooperation. From and after the Closing, Seller shall cooperate with Buyer and shall provide assistance in responding to inquiries and requests of customers of the Branches relating to Deposits transferred to Buyer at the Closing to the extent such inquiries and requests relate to facts and circumstances that occurred prior to the Closing.
Seller’s Cooperation. Seller shall cooperate with Buyer to enable buyer to apply for and obtain such entitlements as may be necessary for buyer’s proposed single family residential homes. In connection with the processing of such applications and entitlements, Seller shall execute such letters of agency or other forms of authorization reflecting buyer’s authority to process the entitlements contemplated herein as reasonable may be required by Buyer. Seller’s Cooperation. Seller agrees to submit to Buyer, within 2 days after the Effective Date, information and/or materials, to the extent the same is available to Seller, for Buyer's use in preparation for the purchase of the Property, including: (a) surveys, site plans, topographical studies, plat maps, property descriptions, zoning maps and engineering drawings for the utilities and public services servicing the Property; (b) soils reports for the Property; (c) environmental studies of the Property; (d) the most recent real estate tax ▇▇▇▇; and (e) a copy of the title insurance policy (or other form of title evidence) issued upon Seller's acquisition or financing of the Property. All materials provided to Buyer pursuant to this Article IV shall be deemed conditionally delivered. If this transaction is not closed in accordance with the terms hereof such materials shall be returned to Seller upon demand. Seller hereby agrees to cooperate with Buyer in all respects during the term of this Agreement, including Seller's joining in the execution of any and all reasonable applications, instruments, licenses and documents contemplated pursuant hereto.
Seller’s Cooperation. In addition to the obligations required to be performed hereunder by Seller prior to or at the Closing, Seller agrees to perform such other reasonable acts and to execute, acknowledge and/or deliver subsequent to the Closing such other reasonable instruments, documents and other materials as Purchaser may reasonably request in order to effectuate the consummation of the transactions contemplated herein and to vest title to the Property in Purchaser.

Seller’s Cooperation. In order to facilitate the conduct of the Feasibility Studies of Purchaser, prior to or simultaneously with the execution and delivery of this Agreement, Seller has delivered to or for the benefit of Purchaser copies of the documents described on Exhibit B to this Agreement (collectively, the “Seller Disclosures”), to the extent in Seller’s possession or control. In addition, during the Feasibility Period, Seller shall provide to Purchaser access at the Property to all documents in the possession of Seller and relating to the physical condition, or the operation, management, maintenance or repair of the Property (excluding, however, financial information of Seller, or any of its respective or derivative members and owners, internal reports, memoranda, correspondence and other information, and matters between Seller and its lender, and all privileged communications with legal counsel), with the right in Purchaser, at the cost and expense of Purchaser, to inspect the same and make copies thereof, it being acknowledged that such access, right of inspection and right to copy is given without express or implied representation or warranty made by Seller in any respect.
Seller’s Cooperation. From the Effective Date until the Closing Date, Seller shall cooperate with Purchaser at Purchaser's expense in executing all documents reasonably required in connection with Purchaser's obtaining any governmental permits, or zoning variances, use permits or site plan approvals relating to the Properties, desired by Purchaser. Purchaser shall indemnify and hold Seller harmless from any and all claims, liabilities (direct or indirect), costs and expenses (including attorneys' fees) related to or arising from Seller's cooperation and execution of such documents.

During the period commencing on the date of this Agreement and continuing through the Closing Date, Sellers shall assist and cooperate with Buyer by permitting Buyer to review compensation data and job descriptions (if any) for any Designated Employees at Buyer’s reasonable request. Sellers shall permit Buyer to contact and interview all Designated Employees (for those Designated Employees who in the Ordinary Course of Business are located at Sellers’ premises such interviews may, at Buyer’s option, take place at Sellers’ premises during normal business hours), and Sellers shall reasonably cooperate with Buyer in all such respects. Sellers and Buyer shall cooperate to effect an orderly transition of any Designated Employee offered employment by Buyer as a New Buyer Employee.
