Securonix Indemnification Sample Clauses

Securonix Indemnification. Subject to Section 8.1.1, Securonix will defend Customer against any claim, suit or proceeding brought by a third party (each a “Claim”) alleging that Customer’s use of the Services infringes or misappropriates such third party’s Intellectual Property Rights, and will indemnify and hold harmless Customer against any damages and costs awarded against Customer or agreed in settlement by Securonix (including reasonable attorneys’ fees) resulting from such Claim.
