Section 7.20. Section 7.20 of the Loan Agreement is hereby amended and restated in its entirety to read as follows:
Section 7.20. Trustee to Give Notice of Default, But May Withhold in Certain Circumstances. Within forty-five (45) days after a Responsible Officer assigned to the Corporate Trust Office of the Trustee obtains actual knowledge of the occurrence of any Default hereunder, the Trustee shall transmit by mail to all Holders as their names shall appear on the Security Register, in the manner and to the extent provided in Trust Indenture Act Section 313(c), notice of such Default hereunder, unless such Default shall have been cured or waived; provided, that except in the case of a default in the payment of the principal of, Make-Whole Premium, if any, or interest on any Bond, the Trustee shall be protected in withholding such notice if and so long as the board of directors, the executive committee or a trust committee of directors or Responsible Officers of the Trustee in good faith determine that the withholding of such notice is in the interest of the Holders. SECTION 721. Undertaking for Costs. In any suit for the enforcement of any right or remedy under this Indenture, or in any suit against the Trustee for any action taken, suffered or omitted by it as Trustee, a court may require any party litigant in such suit to file an undertaking to pay the costs of such suit, and may assess costs (including reasonable attorneys' fees and expenses) against any such party litigant, in the manner and to the extent provided in the Trust Indenture Act; provided, that the provisions of this Section 721 shall not apply to any suit instituted by the Trustee, or the Issuer to any suit instituted by any Holder or group of Holders, holding in the aggregate more than ten percent (10%) in principal amount of the Outstanding Bonds, or any suit instituted by any Holder for the enforcement of the payment of the principal of (Make-Whole Premium, if any) or interest, if any, on any Bond on or after the respective due dates expressed in such Bond (or, in the case of redemption, on or after the Redemption Date). Section 7.20. 15 Upon the prior mutual agreement of the Transportation Mechanic or Transportation Technician and 17 overtime wages. Compensatory time may be used only as scheduled by mutual agreement between the 18 employee and the District. Compensatory time should be scheduled prior to its accrual and must be 19 used within thirty (30) days of accrual. Compensatory time accumulated may not carry beyond thirty 20 (30) days. 21
