Section 240. 13d-3; provided that for purposes of this Agreement, (i) MAM and its Affiliates shall not be deemed to beneficially own Company Voting Securities with respect to which all investment decisions with respect to such Company Voting Securities are made by an independent investment manager or investment advisor (provided, that if MAM or such Affiliate exercises voting power in respect of such Company Voting Securities, MAM or such Affiliate shall be deemed to beneficially own such Company Voting Securities for purposes of Section 7 of this Agreement), and (ii) any option, warrant, right, conversion privilege or arrangement to purchase, acquire or vote Company Voting Securities regardless of the time period during or at which it may be exercised and regardless of the consideration paid shall be deemed to give the holder thereof beneficial ownership of the Company Voting Securities to which it relates. Any Company Voting Securities which are subject to such options, warrants, rights, conversion privileges or other arrangements shall be deemed to be outstanding for purposes of computing the percentage of outstanding securities owned by such Person but shall not be deemed to be outstanding for the purpose of computing the percentage of outstanding securities owned by any other Person.

Section 240. 24b-2. For purposes of clarification, Cisco considers the following to be soliciting Product or Service orders outside of the Territory in violation of the Agreement, except as expressly authorized by Cisco in writing in advance: where Integrator solicits for Resale or Resells Cisco Product or Services to an End User which is located outside the Territory and otherwise has no meaningful operations in the Territory, even if delivery of the Cisco Product or Service occurs in the Territory.”
Section 240. 24b-2. In the event that a particular Cisco certification, specialization, or Advanced Technology Provider program in which Integrator participates requires the purchase of additional demonstration, evaluation, or lab Products, then, notwithstanding the dollar caps referenced in the matrix above, Integrator may apply its Lab Discount to the purchase of such required Products.

  • Section 3.5 29 Neither the District, nor the Association, shall discriminate against any employee subject to this 30 Agreement on the basis of race, creed, color, sex, religion, age or marital status or because of a 31 disability with respect to a position, the duties of which may be performed efficiently by an individual 32 without danger to the health or safety of the disabled person or others.

  • Section 3.4 47 Each employee reserves and retains the right to delegate any right or duty contained in this Agreement, 48 exclusive of compensation for services rendered, to appropriate officials of the Association.

  • Section 5.1 24 It is agreed and understood that matters appropriate for negotiation between the District and the 25 Association are matters relating to or affecting wages, hours, grievance procedures and general working 26 conditions of employees in the bargaining unit subject to this Agreement.

  • Section 21 25 It is agreed that the customary and usual rights, powers, functions, and authority of management are 26 vested in management officials of the District. Included in these rights in accordance with and subject to 27 applicable laws, regulations, and provisions of this Agreement, is the right to direct the work force, the 28 right to hire, promote, retain, transfer, and assign employees in positions; the right to suspend, discharge, 29 demote, or take other disciplinary action against employees; and the right to release employees from 30 duties because of lack of work or for other legitimate reasons. The District shall retain the right to 31 maintain efficiency of the District operation by determining the methods, means, and the personnel by 32 which such operation is conducted.

  • Section 4.5 7 The President of the Association and designated representatives may be provided time off without loss 8 of pay to a maximum of ten (10) days per year to attend local, regional or State meetings when the 9 purpose of those meetings is in the best interest of the District as determined by the District 10 administration.

  • Section 6.2 33 The Association representatives shall represent the Association and employees in meeting with 34 officials of the District to discuss appropriate matters of mutual interest. They may receive and 35 investigate to conclusion complaints or grievances of employees and thereafter advise employees of 36 rights and procedures outlined in this Agreement and applicable regulations or directives for resolving 37 the grievances or complaints. They may not, however, continue to advise the employee on courses of 38 action after the employee has indicated a desire not to pursue a grievance. The Association may consult 39 with the District on complaints without a grievance being made by an individual employee.

  • Section 3.2 39 Each employee shall have the right to bring matters of personal concern to the attention of appropriate 40 Association representatives and/or appropriate officials of the District.

  • Section 4.3 18 The Association reserves and retains the right to delegate any right or duty contained herein to 19 appropriate officials of the Public School Employees of Washington State Organization.

  • Section 5.2 29 It is further recognized that this Agreement does not alter the responsibility of either party to meet with the 30 other party to advise, discuss or consult regarding matters concerning working conditions not covered by 31 this Agreement. 35 A R T I C L E V I 36 37 ASSOCIATION REPRESENTATION 38
