Secrecy Non Solicitation and Non Competition. Following the Resignation Date, Xxxxxxx agrees to adhere to the secrecy, non-solicitation and non-competition restrictions and equitable relief provisions contained in Section 2 of the 2002 Change in Control Agreement, which are hereby incorporated into this Agreement by reference (other than Section 2(d)(i)). Notwithstanding the foregoing, the parties agree that Section 2(d)(i) of the 2002 Change in Control Agreement is hereby deleted in its entirety. In consideration of Xxxxxxx'x promises under this Section 4, Wolverine shall pay to Xxxxxxx a non-compete and non-solicitation fee equal to $1,035,000 (the "Non-compete and Non-solicitation Fee"). On or before the Resignation Date, Wolverine shall pay the Non-compete and Non-solicitation Fee into a rabbi trust for the benefit of Xxxxxxx. The Non-compete and Non-solicitation Fee shall be paid to Xxxxxxx out of the rabbi trust on the day following the six (6) month anniversary of the Resignation Date.

Secrecy Non Solicitation and Non Competition. During the Employment Transition Period and for the applicable period of time thereafter, Weil agrees to adhere to the secrecy, non-solicitation and non-competition restrictions and equitable relief provisions contained in this Section 4. In consideration of Weil’s promises under this Section 4, Wolverine shall pay to Weil a non-compete and non-solicitation fee equal to $755,000.00 (the “Non-Compete and Non-Solicitation Fee”). On or before May 7, 2007, Wolverine shall pay the Non-Compete and Non-Solicitation Fee into the Rabbi Trust. The Non-Compete and Non-Solicitation Fee shall be paid to Weil out of the Rabbi Trust on February 28, 2008, or as soon as administratively feasible after such date.

  • Non-Solicitation and Non-Competition Ancillary to the agreements to provide Executive with the Confidential Information as set forth above, and in order to aid in the enforcement of those agreements, Executive agrees that, during the Term and for a period of two (2) years after the termination of Executive’s employment with the Company (or, in the event Executive is entitled to the payments and benefits described in Section 4.3(c) for a period of one (1) year after termination of Executive’s employment with the Company) (as applicable, the “Prohibited Period”), he will:

The Executive acknowledges that, due to the unique nature of the Company’s business, the loss of any of its clients or business flow or the improper use of its Confidential and Proprietary Information could create significant instability and cause substantial damage to the Company and its affiliates and therefore the Company has a strong legitimate business interest in protecting the continuity of its business interests and the restriction herein agreed to by the Executive narrowly and fairly serves such an important and critical business interest of the Company. For purposes of this Agreement, the Company shall be deemed to be actively engaged in the business of medical staffing placements. Notwithstanding the foregoing, nothing contained in this Section 7(a) shall be deemed to prohibit the Executive from (i) acquiring or holding, solely for investment, publicly traded securities of any corporation, some or all of the activities of which are competitive with the business of the Company so long as such securities do not, in the aggregate, constitute more than three percent (3%) of any class or series of outstanding securities of such corporation.

  • Non-Solicitation; Non-Competition (a) Executive agrees that, during the Term and until nine (9) months after the termination of his employment, Executive will not, directly or indirectly, including on behalf of any person, firm or other entity, employ or actively solicit for employment any employee of the Company or any of its Affiliated Entities, or anyone who was an employee of the Company or any of its Affiliated Entities within the nine (9) months prior to the termination of Executive’s employment, or induce any such employee to terminate his or his employment with the Company or any of its Affiliated Entities.

For the avoidance of doubt, the provisions of this Section 10 will not apply following a termination of the Executive's employment by the Company with or without Cause, by the Executive due to Disability or Good Reason or by the Executive during a Window Period.
