As soon as reasonably practicable and in any event within fifteen (15) Business Days after issue of the Planning Permission for the Facility the Contractor shall provide to the Authority a copy of the Planning Permission and will notify the Authority in writing whether or not the Contractor considers the Planning Permission to be a Satisfactory Planning Permission or is an Unsatisfactory Planning Permission. If the Contractor considers that the Planning Permission will be notwithstanding the expiry of the Challenge Period an Unsatisfactory Planning Permission it shall provide within [five (5)] Business Days of the issue of the notice given pursuant to paragraph 3.1.2 to the Authority (or such longer period as the parties may in the circumstances and acting reasonably agree): full details of the grounds for such opinion; and/or an indication of what action could be taken (if any) by the Contractor or the Authority to enable the Contractor to comply with the Planning Permission without being in breach of this Contract which would be such as to render it a Satisfactory Planning Permission or render compliance with such Unsatisfactory Planning Permission unnecessary including without limitation: Proceedings; or the issue of an Authority Change Notice to vary the Works and/or Services. If the Contractor fails to provide the notice pursuant to paragraph 3.1.2 within [fifteen (15)] Business Days after issue of the Planning Permission then on the expiry of the Challenge Period, the Planning Permission shall be deemed to be a Satisfactory Planning Permission.
