Sanctions Target. (i) That neither the Issuer nor any of its subsidiaries nor any of their respective directors or officers nor, to the best of the knowledge of the Issuer or any subsidiary, any of their respective affiliates or employees, is a person with whom transactions are currently prohibited under any sanctions administered by the Office of Foreign Assets Control of the United States Department of the Treasury ("OFAC") or any other sanctions or measures imposed by the European Union, His Majesty's Treasury or the United Nations Security Council or any applicable equivalent sanctions authority in Denmark (collectively, "Sanctions").

Sanctions Target. None of the Issuers, the Guarantor nor any member of the Group nor, to the knowledge of any of the Issuers or Guarantor, any of their respective directors, officers, agents, employees or Affiliates or any member of the group is currently a target of any financial or economic sanctions or trade embargoes ("Sanctions") administered or enforced by the Office of Foreign Assets Control of the US Department of Treasury (OFAC), the U.S. Departments of State or Commerce or any other United States, European Union, United Nations or United Kingdom economic sanctions ("Sanctions Target"), or is owned 50% or more or otherwise controlled by one or more Sanctions Targets; and none of the Issuers nor Guarantor will, directly or indirectly, lend, invest, contribute or otherwise make available the proceeds of the offering of any Notes to or for the benefit of any then-current Sanctions Target, to any person located in a sanctioned territory or country (as at the date of this Agreement, the Crimea Region of Ukraine, the so-called Donetsk People's Republic Region of Ukraine, the so-called Luhansk People's Republic Region of Ukraine, Syria, North Korea, Iran, Cuba) or in another manner that will result in a violation by any person involved in the issue of any notes of these sanctions. This clause applies provided that the representations, warranties and undertaking provided in this clause are only sought by any Agent incorporated or organised under (a) the laws of a member state of the European Union and given by each Issuer and the Guarantor to the extent that to do so does not result in any violation of the EU Blocking Regulation and/or any associated and applicable national law, instrument or regulation related thereto in the European Union; (b) the laws of the United Kingdom to the extent that to do so does not result in any violation of the UK Blocking Regulation; or (c) the laws of Germany to the extent that to do so does not result in any violation of section 7 of the German Foreign Trade Regulation (Außenwirtschaftsverordnung), and/or similar anti- boycott legislation in Germany.
Sanctions Target neither the Issuer nor any member of the Group, nor, to the best knowledge of the Issuer, any director, officer, agent, employee or affiliate of the Issuer or any member of the Group has taken any action resulting in a violation of any financial or economic sanctions or trade embargoes administered or enforced by the Office of Foreign Assets Control of the US Department of Treasury (OFAC), the U.S. Departments of State or Commerce or any other US, EU, United Nations or UK economic sanctions ("Sanctions") or is currently a target of any Sanctions ("Sanctions Target") and none of them will lend, invest, contribute or otherwise make available the proceeds of the offering of the Notes to or for the benefit of any then-current Sanctions Target, to any subsidiary, affiliate, joint venture partner or other person or entity, for the purpose of financing or facilitating any activity of or transaction with any person or entity in any country or territory, that, at the time of such funding or facilitation, is a country, or territory with which dealings are restricted or prohibited by any Sanctions (including any person owned or controlled by any person subject to any Sanctions) or in breach of the Sanctions applicable to the Issuer or any member of the Group and none of them has received notice, or is otherwise aware of, any claim, action, suit, investigation or proceeding involving them with respect to Sanctions;

  • Economic Sanctions, Etc The Company will not, and will not permit any Controlled Entity to (a) become (including by virtue of being owned or controlled by a Blocked Person), own or control a Blocked Person or (b) directly or indirectly have any investment in or engage in any dealing or transaction (including any investment, dealing or transaction involving the proceeds of the Notes) with any Person if such investment, dealing or transaction (i) would cause any holder or any affiliate of such holder to be in violation of, or subject to sanctions under, any law or regulation applicable to such holder, or (ii) is prohibited by or subject to sanctions under any U.S. Economic Sanctions Laws.

  • Disciplinary Sanctions The Company shall not be required to engage in the three-step dispute resolution process prior to imposing disciplinary sanctions for violation of the Agreement.

  • Sanctions; Anti-Corruption Laws The Borrower will maintain in effect policies and procedures designed to promote compliance by the Borrower, its Subsidiaries, and their respective directors, officers, employees, and agents with applicable Sanctions and with the FCPA and any other applicable anti-corruption laws.

  • Terrorism Sanctions Regulations The Company will not and will not permit any Subsidiary to (a) become a Person described or designated in the Specially Designated Nationals and Blocked Persons List of the Office of Foreign Assets Control or in Section 1 of the Anti-Terrorism Order or (b) engage in any dealings or transactions with any such Person.

  • Anti-Money Laundering Compliance Programs Soliciting Dealer represents to the Dealer Manager and to the Company that it has established and implemented anti-money laundering compliance programs in accordance with applicable law, including applicable FINRA Conduct Rules, the Exchange Act Rules and Regulations and the Uniting and Strengthening America by Providing Appropriate Tools Required to Intercept and Obstruct Terrorism Act of 2001, as amended (the “USA PATRIOT Act”), specifically including, but not limited to, Section 352 of the International Money Laundering Abatement and Anti-Terrorist Financing Act of 2001 (the “Money Laundering Abatement Act,” and together with the USA PATRIOT Act, the “AML Rules”) reasonably expected to detect and cause the reporting of suspicious transactions in connection with the offering and sale of the Shares. Soliciting Dealer further represents that it currently is in compliance with all AML Rules, specifically including, but not limited to, the Customer Identification Program requirements under Section 326 of the Money Laundering Abatement Act, and Soliciting Dealer hereby covenants to remain in compliance with such requirements and shall, upon request by the Dealer Manager or the Company, provide a certification to the Dealer Manager or the Company that, as of the date of such certification (a) its AML Program is consistent with the AML Rules, and (b) it is currently in compliance with all AML Rules, specifically including, but not limited to, the Customer Identification Program requirements under Section 326 of the Money Laundering Abatement Act. Upon request by the Dealer Manager at any time, Soliciting Dealer will (i) furnish a written copy of its AML Program to the Dealer Manager for review, and (ii) furnish a copy of the findings and any remedial actions taken in connection with its most recent independent testing of its AML Program.

  • Anti-Money Laundering and Red Flag Identity Theft Prevention Programs The Trust acknowledges that it has had an opportunity to review, consider and comment upon the written procedures provided by USBFS describing various tools used by USBFS which are designed to promote the detection and reporting of potential money laundering activity by monitoring certain aspects of shareholder activity as well as written procedures for verifying a customer’s identity (collectively, the “Procedures”). Further, the Trust has determined that the Procedures, as part of the Trust’s overall anti-money laundering program and the Red Flag Identity Theft Prevention program, are reasonably designed to prevent the Fund from being used for money laundering or the financing of terrorist activities and to achieve compliance with the applicable provisions of the Fair and Accurate Credit Transactions Act of 2003 and the USA Patriot Act of 2001 and the implementing regulations thereunder. Based on this determination, the Trust hereby instructs and directs USBFS to implement the Procedures on the Trust’s behalf, as such may be amended or revised from time to time. It is contemplated that these Procedures will be amended from time to time by the parties as additional regulations are adopted and/or regulatory guidance is provided relating to the Trust’s anti-money laundering and identity theft responsibilities.
